Equillium doses first EQ504 subject, triggering $20 million closing and cash runway into 2029

Australia's Phase 1 study plans to enroll about 70 healthy volunteers at 0.1 to 3.0 mg a day, with topline data anticipated in the second quarter of 2027. The $20.0 million tranche is priced at $0.57 a share.

What “Source checked” means

EQLatest quote

Equillium dosed the first subject in a Phase 1 trial of EQ504, its oral colon-targeted aryl hydrocarbon receptor modulator, in Australia, and said that event triggered a $20.0 million milestone closing under its August 2025 equity private placement. The added tranche is priced at $0.57 a common share and the company expects its cash to fund currently planned operations into 2029. The filing contains no quarterly revenue, earnings or cash balance.

The release casts the dosing as a development milestone first and a financing event second, and the two are contractually linked: the first patient in the clinic is what unlocks the second tranche of the placement.

A 70-subject study built around gut biopsies

EQ504 is an oral, colon-targeted aryl hydrocarbon receptor modulator, and the Phase 1 study is a randomized, double-blind, placebo-controlled, single-center trial conducted in Australia. It plans to enroll approximately 70 healthy subjects and to explore once-daily oral doses from 0.1 to 3.0 mg. A single ascending dose portion runs five sequential cohorts; a multiple ascending dose portion runs three cohorts at once-daily dosing over 10 days. The multiple-dose work also collects gastrointestinal mucosal biopsies to measure CYP1A1 expression, a biomarker of AhR pathway activation, which is how the company intends to show the drug is engaging its target in the gut. An optional food-effect cohort will test whether food changes exposure.

“Dosing the first participant in our Phase 1 trial marks an important milestone as we advance EQ504, our differentiated, oral, colon-targeted AhR modulator, into clinical development,” Chief Executive Bruce Steel said in the release.

The milestone tranche and the numbers it leaves out

The August 2025 placement was structured in tranches, and the closing released by the dosing is the second one. At that closing, investors are expected to buy 14,957,260 shares of common stock at $0.57 each and 20,130,457 pre-funded warrants at $0.5669 each, for aggregate gross proceeds of approximately $20.0 million. Multiplied out at those stated prices, the two lines total about $19.9 million, which is consistent with the company's rounded figure. The tranche takes total proceeds from the placement to approximately $50 million, so it supplies roughly 40% of the total. The securities are being sold in a transaction not registered under the Securities Act, and the release says the investors received customary resale registration rights on Form S-3. Equillium said the closing was expected later on October 26; as of the release it had not occurred.

The runway statement is the one figure with no arithmetic behind it. Equillium expects cash and cash equivalents to fund currently planned operations into 2029, but the release discloses no cash balance, no quarterly spending rate and no runway table, so the claim cannot be checked against this document alone.

No quarter inside this filing

The exhibit is a clinical and financing announcement, not a quarterly report. The filing index lists the current report and a single exhibit, and the exhibit covers an unregistered sale of equity securities, Regulation FD disclosure and other events. There is no income statement, balance sheet, cash-flow statement or per-share figure anywhere in it, and the release does not say when third-quarter results will be filed. A reader looking for Equillium's third-quarter revenue, loss or cash position will not find them here; the only forward financial marker in the document is the 2029 runway assertion.

That distinction matters for how the news should be read. A financing announcement can be verified line by line against the sale terms, while a results release would have offered a spend rate to test the runway claim. Here the dilution is disclosed and the burn is not.

What the calendar now turns on

Two dated items carry the story from here. The company anticipates topline Phase 1 proof-of-mechanism data in the second quarter of 2027, and, subject to supportive data, a placebo-controlled proof-of-concept study in patients with moderately to severely active ulcerative colitis in the second half of 2027. The placement buys time to those readouts while fixing a reference price: new shares are being issued at $0.57.

The release also attaches conditions to the closing, including receipt of a Price Threshold Waiver, and its risk list names the impact the sale may have on the stock price alongside the usual clinical and financing uncertainties.
