Applied Materials to lift Besi stake to approximately 20 percent under accelerated purchase

The Form 8-K agreement would take Applied's holding in BE Semiconductor Industries to approximately 20 percent of shares outstanding, subject to U.S. antitrust clearance, with no price disclosed.

Applied Materials said on October 26 that it will raise its stake in BE Semiconductor Industries to approximately 20 percent of the Dutch equipment maker's outstanding shares under an accelerated share purchase agreement, adding to a position it first took in April 2025. The filing gave no purchase price, no share count and no financing plan, and tied delivery of the shares to U.S. antitrust clearance.

Applied Materials, Inc. disclosed the agreement in a Form 8-K filed the same day under Item 8.01, Other Events, with the announcement furnished as Exhibit 99.1. Delivery of the Besi shares depends on one named condition: the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976 expiring or being terminated. The filing sets no date for that, so the transaction has no disclosed completion window.

An accelerated purchase with undisclosed settlement terms

The release describes the contract as "an accelerated share purchase agreement for the Besi shares" and stops there. It names no counterparty, no price per share, no number of shares to be delivered and no settlement schedule. In this structure the buyer generally pays for the stock up front and receives it over a delivery period from the dealer on the other side, which is why the headline ownership figure arrives before the shares do. Applied's disclosure does not state those mechanics, so the gap between signing and full delivery cannot be dated from the filing.

The size of the position being added is equally opaque. Applied's earlier Besi stake, taken in April 2025, was never quantified in this document, which means the incremental share count implied by a move to approximately 20 percent cannot be computed from anything the company filed.

A partnership that runs from 2020 to the EPIC Center

The purchase formalizes a relationship that predates it. The companies' collaboration began in 2020 and was recently widened when Besi joined Applied's EPIC Center as an Innovation Partner, according to the release. The stated scope now runs past hybrid bonding into interconnect work: next-generation 3D IC scaling, logic and memory integration, scaling of thermo-compression bonding, and die-on-wafer, die-on-die and die-on-panel platforms.

That framing shapes how the deal reads. Applied is not buying into an unfamiliar supplier; it is enlarging a claim on a partner whose assembly tools sit at the packaging step, the part of chipmaking where wiring and stacking decisions increasingly set what an AI accelerator can do within a power budget. Dr. Prabu Raja, president of Applied's Semiconductor Products Group, put the technical case directly: hybrid bonding and next-generation interconnect architectures "become increasingly critical enablers of energy-efficient AI compute performance," and the widened collaboration is meant to carry that work into new architectures.

A stake capped at 20 percent, and no board seat

Two limits are stated explicitly. Applied said it "has no intention to increase its investment in Besi beyond approximately 20 percent," and it does not intend to seek board representation at Besi. A holding of that size is large enough that how Applied accounts for it, and whether the shares carry any influence over Besi's decisions, becomes a live question for readers of its statements; the release addresses neither point. Nor does it say how the purchase will be funded, whether from cash, debt or existing facilities.

That silence is the most consequential omission for anyone modeling Applied's balance sheet. An equity purchase of this kind moves cash and adds an asset whose value will fluctuate with Besi's share price, but without a purchase price there is no way to size either side of the entry from the filing alone.

No operating results appear in the exhibit

This is not a quarterly report. The Form 8-K carries Item 8.01 and Item 9.01 and a single exhibit, the press release about Besi; it contains no revenue, margin, order or backlog figures, and none of the numbers in it describe Applied's operating results. The filing also records no market reaction to the announcement, and this report asserts none.

The condition that decides completion

Everything now rests on antitrust timing. Until the Hart-Scott-Rodino waiting period expires or is terminated, the approximately 20 percent level is a stated ownership level for an agreement whose delivery condition has not been satisfied, and the April 2025 position remains the only stake Applied has confirmed. The next verifiable evidence will be a later Applied filing that reports the shares actually delivered; nothing in the release commits the company to a date for that, and nothing in it commits Applied to the collaboration's commercial form beyond the partnership language already in place.
