Francisco Partners completed its all-cash purchase of Weave Communications on Oct. 26, paying $7.40 a share in a transaction Weave valued at approximately $650 million, and the healthcare software vendor's common stock stopped trading on the New York Stock Exchange before the market opened.

A $7.40 cash exit and an NYSE delisting

Stockholders are entitled to $7.40 per share in cash, a premium of approximately 34% to Weave's unaffected closing price on Aug. 17, 2026, the last full trading day before the deal was announced. The merger agreement itself is dated Aug. 18. Weave said it notified the NYSE of the closing and asked the exchange to file a Form 25 removing the stock from listing and registration; the company then intends to file a Form 15 to terminate registration and suspend its reporting duties. Weave keeps operating under its own name as a private company, with headquarters in Lehi, Utah.

Two price figures the filing does not reconcile

The closing release values the transaction at approximately $650 million. The Form 8-K filed the same day puts the merger consideration payable to stockholders at approximately $597.46 million. The filing does not reconcile the two figures, and no captured document breaks out the difference between them. Parent funded the purchase with equity from four Francisco Partners VII funds, proceeds from a new credit agreement and Weave's own available cash. That facility, agented by Hercules Capital as administrative and collateral agent, comprises a $190,000,000 term loan, a $25,000,000 delayed draw term loan and a $25,000,000 revolver — $240 million of commitments, secured by a first-priority claim on substantially all assets. Weave also repaid in full and terminated its existing First-Citizens revolving line of credit.

What Francisco Partners is buying

Weave sells patient engagement and payments software to healthcare practices and says more than 40,000 locations rely on it. Chief Executive Brett White called the close "the start of an exciting new chapter for Weave," adding that the company has spent nearly two decades building tools for independent practices. Ezra Perlman, co-president of Francisco Partners, described Weave as sitting "at the center of how tens of thousands of healthcare practices communicate with their patients and collect revenue". The buyer says it has invested in over 500 technology companies and raised over $75 billion in capital.

Board turnover and a lapsed standstill

Eight directors, including Ryan Dubin, Stuart C. Harvey Jr. and H. Edward Robson II, resigned at the effective time; Brett White and Jason Christiansen became the surviving company's directors, and Weave's pre-closing officers kept their posts. The March 28, 2026 cooperation agreement with Engine Capital and 2717 Partners, which had expanded the board to ten seats and added two investor nominees, was terminated by mutual agreement. Vested options and restricted stock units convert into cash; unvested awards held by continuing employees keep their vesting schedules and pay out later, while underwater or non-employee awards were cancelled for no consideration.

The filings that will close the record

Two documents will mark the end of Weave's public reporting. The Form 25 takes effect after the exchange files it, and a Form 15 then follows to suspend obligations under Sections 13(a) and 15(d). The credit agreement was described in the filing but not attached as an exhibit, so its covenants, pricing and amortization sit outside the public record; the merger agreement's schedules were likewise omitted. No further quarterly results are expected from Weave once deregistration is complete.
