Commercial Bancgroup's October 26, 2026 dividend press release (Exhibit 99.3) and third-quarter 2026 earnings release (Exhibit 99.1), both filed with the SEC; ratios and payout arithmetic computed by TickerGrove from figures in those exhibits.
Based on Commercial Bancgroup's October 26, 2026 dividend press release and third-quarter 2026 results release, both filed with the SEC that day.
Commercial Bancgroup, Inc. declared a quarterly cash dividend of $0.12 a share on October 26, payable December 30, 2026 to holders of record at the close of business on December 15. The parent of Commercial Bank, which trades on Nasdaq as CBK, put the declaration in a separate exhibit alongside third-quarter results that showed net income of $10.9 million, or $0.79 per diluted share, against $9.5 million, or $0.77, a year earlier.
The declaration arrived in its own exhibit inside a Form 8-K that also carried the third-quarter earnings release and an investor presentation. Commercial's board approved the payment to shareholders of record at the close of business on December 15, 2026, with cash due December 30, 2026. The dividend notice is a single declaration paragraph followed by the corporate description, contacts and forward-looking language; it contains no statement from an executive, no reference to the prior quarter's rate and no dividend policy.
A $0.12 payout against $0.79 of quarterly earnings
At $0.12 a quarter, the dividend equals 15.2% of the $0.79 of diluted earnings per share reported for the third quarter, and four payments at the same rate would total $0.48 a share annualized. Those are our calculations from figures printed in the filing exhibits, not company disclosures. Spread across the 13,710,195 shares outstanding at September 30, 2026, the payment would cost roughly $1.6 million. Because the exhibits give no prior-quarter dividend, the documents do not establish whether $0.12 repeats, raises or cuts the last payout; the rate is declared, not disclosed as a change.
Loan growth and a wider margin carried the quarter
The earnings release reports net income of $10.9 million, or $0.79 per diluted share, against $9.5 million, or $0.77, a year earlier, a 14.7% increase computed from those two figures. The net interest margin was 4.14%, up 8 basis points from the second quarter, and return on average assets was 1.84%. Loans rose $42.8 million, or 2.2%, during the quarter and $216.1 million, or 12.2%, from a year earlier to $2.0 billion, while deposits of $1.9 billion were 6.0% higher than a year earlier. The core efficiency ratio was 43.68%, and tangible book value per share rose 3.0% to $21.92 from $21.28 at June 30, 2026, on the company's non-GAAP reconciliation.
The company attributes the pre-tax increase to a $1.9 million, or 9.5%, rise in net interest income after provision for credit losses and a $100,000, or 2.8%, gain in noninterest income, "partially offset by a $400,000, or 4.3%, increase in noninterest expense". It describes the noninterest income gain as "primarily due to increases in ATM fees and bank-owned life insurance income".
Capital and credit, and where the release goes quiet
At the bank level the release says Commercial Bank "exceeded the minimum requirements to be well-capitalized", citing a total risk-based capital ratio of 14.2%, a common equity Tier 1 capital ratio of 13.3% and a Tier 1 leverage ratio of 11.8%. Credit measures moved in opposite directions: nonperforming assets were 0.31% of total assets against 0.27% a year earlier, the allowance for credit losses slipped to 0.96% of total loans from 1.02%, and net charge-offs were 0.00% of average loans.
What the filing omits matters for anyone treating the dividend as a run-rate. There is no guidance for the fourth quarter or for the full year, no announced earnings call, and no explanation of why the board settled on this rate or how it intends to set future payouts. The dividend exhibit is a declaration notice, not a capital-return framework, and the earnings release does not mention the dividend at all.
The dated items that follow
The cash moves on December 30 to holders of record on December 15. The exhibits do not address whether the payout holds at this level: no guidance, no payout target and no call date appear in them. The release points readers to its annual report on Form 10-K for risk factors, and the next quarterly results and the annual report for the fiscal year ending December 31, 2026 will be the first filings to show whether earnings still cover the rate. A change in the rate itself would surface in a later board declaration.
