Silgan Teams With American Industrial to Buy Trivium in a $3.4 Billion Deal

The all-cash deal folds Trivium into a new Silgan metal-packaging partnership: Silgan keeps 60% control and takes out about $2.3 billion in cash, AIP buys 40% for about $1 billion, and dispensing becomes a standalone second platform.

Silgan is not just buying a rival can maker. It is using Trivium to split itself in two — a controlled metal-packaging partnership with private-equity money inside it, and a wholly owned dispensing business outside it.

Silgan Holdings Inc. said on Monday, October 19, 2026 that it will combine its Metal Containers segment and Food and Beverage Flat Cap Closures businesses with Trivium Packaging B.V. to create Silgan Metal Containers and Closures, or Silgan MCC, in a proposed transaction with funds affiliated with American Industrial Partners. Silgan shares rose about 6% in premarket trading.

A $3.4 billion price for Trivium

The all-cash acquisition values Trivium at an enterprise value of approximately $3.4 billion, representing 7.1x last twelve months Adjusted EBITDA, or 4.8x LTM Adjusted EBITDA including expected synergies of $225 million. The businesses Silgan is contributing are valued in the same transaction at an enterprise value of $3.8 billion, representing 8.1x LTM Adjusted EBITDA; both sets of multiples are as of June 30, 2026. Trivium, based in Amsterdam, makes recyclable metal cans and aerosol containers for food, seafood, pet food and nutrition, beauty and personal care brands. Its current owners are Ontario Teachers' Pension Plan and Ardagh Group SA.

Silgan keeps control — and takes out $2.3 billion

In connection with the formation and capitalization of Silgan MCC, Silgan will receive approximately $2.3 billion of cash proceeds, which will be used to retire certain existing debt, and retain 60% controlling ownership interest in Silgan MCC. AIP will own the remaining 40% interest and contribute approximately $1.0 billion of cash equity to support the acquisition and future growth of the business. The rest of the capitalization is fully-committed debt financing, and Silgan MCC will establish an independent balance sheet that will be fully consolidated into Silgan's financial statements. Governance follows the money but not the majority: the Silgan MCC board will have three directors nominated by Silgan — Anthony J. Allott, Adam J. Greenlee and Shawn C. Fabry — and two directors nominated by AIP.

Two platforms, and a path to two companies

What is left outside the partnership becomes the other half of the story. Silgan's Dispensing and Custom Containers businesses will be combined into one segment and remain wholly owned by Silgan, under the new name Silgan Dispensing Solutions — a premium specialty packaging platform that no longer shares a balance sheet story with metal cans. The structure, Silgan said, defines a pathway to initiate a tax-free distribution and create two entities, each with its own strategy and capital priorities. Chief Executive Adam Greenlee framed the cash as the point: the transaction is, in his words, delivering approximately $2.3 billion of cash proceeds to Silgan while strengthening its global metal packaging business, and it establishes two focused packaging platforms at the same time. Silgan itself is a substantial seller of the assets involved: it reported annual net sales of approximately $6.5 billion in 2025 across 120 manufacturing facilities.

The sellers, the synergies and the wait

On the sell side, Ardagh Group, as minority joint venture partner, has entered into the agreement to sell its entire ~42% stake in Trivium, following Ontario Teachers' decision to sell its majority stake. Ardagh expects estimated net cash proceeds of approximately $90 million, which it plans to use towards reinvestment in the business or deleveraging, and called the stake a non-core investment. Trivium recorded revenues of $3 billion in 2025, has 57 locations worldwide and employs 7,200 people, serving over 800 customers.

The operating case rests on cost. Silgan expects to generate $225 million of synergies by the end of year three — approximately $75 million in year one and $150 million in year two — through procurement, operational and SG&A initiatives, and says the transaction is expected to drive at least 15% adjusted EPS accretion for Silgan, inclusive of expected full run-rate synergies, with a comparable lift to free cash flow. The proposed acquisition has been unanimously approved by the Silgan Board of Directors and is expected to close mid-2027, subject to required regulatory approvals, completion of applicable works council consultation processes and other customary closing conditions. Silgan also confirmed its outlook for adjusted net income per diluted share for the third quarter and full year of 2026, without publishing new figures in the announcement, and discusses the deal on a conference call at 8:00 a.m. ET today. What to watch is whether regulators and works councils keep the mid-2027 close on schedule, how much of the year-one synergy promise is visible in the first results after closing, and whether Silgan follows the tax-free distribution pathway to separate the two platforms outright.
