Proofpoint, the Thoma Bravo portfolio company, said on Thursday it has signed a definitive agreement to acquire Varonis Systems in an all-cash deal.

Varonis Systems, Inc. (Nasdaq: VRNS) and Proofpoint, Inc. announced on Thursday, October 15, 2026 that they have entered into a definitive agreement under which Proofpoint will acquire Varonis in an all-cash transaction valued at approximately $6.3 billion. Under the terms of the agreement, Varonis shareholders will receive $49.75 per share in cash. Proofpoint is a portfolio company of Thoma Bravo, and the merger agreement is among Varonis, Proofpoint as parent and Vail Merger Sub, Inc. On completion, Varonis will become a private, wholly owned company and its shares will cease trading on Nasdaq.

A premium measured against a rumor-driven summer

The companies anchored the premium to two dates, and the choice matters. The $49.75 price is a 52% premium to the $32.71 closing price on June 22, 2026, the last full trading day before initial rumors about a potential sale, and a 17% premium to the $42.35 closing price on September 1, 2026, before further reports speculating about a sale. In other words, much of the run-up had already happened by September, after the market began pricing in a possible deal. The companies also stated the valuation plainly: the transaction values Varonis at approximately 53 times last-twelve-months free cash flow and 8.4 times last-twelve-months revenue, each as of June 30, 2026. That is a full price for a data-security business, and it is being paid entirely in cash. Varonis shares were up about 2% in extended trading after the announcement, a muted move that fits a stock that had already moved on sale speculation.

A sale process, not a single-bidder shortcut

The process protections are the answer to the obvious question about a price set after months of rumors. The transaction has been unanimously approved by the Varonis board of directors. Varonis chief executive, co-founder and chairman Yaki Faitelson said the announcement followed a comprehensive evaluation led by a committee of independent directors, which included outreach to a range of potential strategic and financial buyers, and he described the deal as an excellent outcome delivering immediate and certain value for shareholders. Proofpoint chief executive Sumit Dhawan framed the logic around artificial intelligence: as AI spreads across the enterprise, he argued, the data it can access determines both its value and its risk, and connecting communications, identities, permissions and data gives customers a clearer view of that risk.

Financing, timing and what still has to happen

The transaction is expected to close in the first half of 2027, subject to approval by Varonis shareholders and receipt of regulatory approvals. Thoma Bravo is providing committed equity financing and has secured debt financing commitments to fund the purchase, and Ontario Teachers' Pension Plan has also agreed to make an investment in Proofpoint in connection with the transaction. Until the transaction closes, Proofpoint and Varonis will continue to operate as separate and independent companies, and Proofpoint said it intends to move quickly to integrate the two businesses after closing. The combined company will serve more than 16,000 enterprises, along with millions of smaller organizations globally, in data and AI security.

Why data security is the battleground

The strategic claim behind the price is that data protection has become inseparable from AI adoption. Varonis sells visibility and control over where sensitive data lives and who can reach it, while Proofpoint built its business protecting people and communications against attacks. Put together, the companies argue, a customer can see sensitive data, understand who and what can access it, and stop it being lost or misused by people or by automated agents. That is the platform the combined company says it will move quickly to deliver after closing, aligning products and sales efforts rather than running the two businesses side by side indefinitely. Whether customers buy that combined pitch, and at what renewal prices, is the commercial question that will follow the legal one of whether the deal closes.

The companies, the advisers and the next dated item

Varonis describes itself as a data and AI security company whose platform gives organizations visibility and control over critical data and helps ensure safe use of AI, while Proofpoint is a human and agent cybersecurity company that Thoma Bravo took private in 2021 in a deal valued at about $12.3 billion. Goldman Sachs is acting as exclusive financial advisor to Varonis, with Paul Hastings as its legal counsel. BofA Securities, Morgan Stanley, J.P. Morgan, UBS and Mizuho are serving as financial advisors to Proofpoint, with Kirkland & Ellis as its legal counsel. The next dated item is near-term: Varonis will report its third-quarter 2026 results after the close of U.S. markets on November 3, and it will not hold an earnings conference call in light of the announced transaction. After that, the story is the shareholder vote, the regulatory approvals and whether the first-half 2027 closing window holds.
