CCC Intelligent Solutions Holdings said on Thursday it has signed a definitive agreement to be acquired by a consortium led by GTCR and including Elliott Investment Management, ending a sale process the market had been trading on since July.

CCC Intelligent Solutions Holdings Inc. (NASDAQ: CCC) announced on Thursday, October 15, 2026 that it has entered into a definitive agreement to be acquired by a consortium of private investment firms led by GTCR, and including Elliott Investment Management, in an all-cash transaction with an enterprise value of approximately $6.1 billion. Under the terms of the agreement, CCC stockholders will receive $7.75 in cash for each share of CCC common stock, representing a premium of approximately 44% to CCC's unaffected closing stock price on July 9, 2026, the last trading day prior to media speculation regarding a potential sale of the Company, and a premium of approximately 59% to the 30-day average price as of July 9, 2026. The transaction was approved by CCC's Board of Directors.

The premium is measured from July, not from this week

Those premium percentages flatter the headline because the stock had already run. Reports in July first linked Elliott to a substantial stake and a possible sale process, and on Friday, October 9, Bloomberg reported that GTCR and Elliott were in advanced talks; CCC's stock jumped about 7% that day to $7.02, putting its market cap near $4.1 billion. The shares rose again on Monday, October 12, closing at $7.59, up 8.12%, as the reports persisted. Against that pre-announcement traded level, the signed $7.75 price is a modest step up rather than a dramatic one — the 44% and 59% premiums are real, but they are measured to the July 9 unaffected date, before speculation did much of the repricing for the buyers.

What the buyers are paying for

Based in Chicago, CCC is a SaaS and AI platform for the insurance economy: it connects more than 35,000 businesses, including insurers, repairers, automakers and parts suppliers, across the claims and repair lifecycle, drawing on 40 years of industry data and over a decade of AI embedded into mission-critical workflows. The scale behind that network showed in the company's most recent reported quarter: for the second quarter of 2026, CCC reported revenue of $285.9 million, up 9.8% year over year, and adjusted EBITDA of $115.5 million, up 6.8%. Chairman and CEO Githesh Ramamurthy, who stays with the company, said the deal will help CCC accelerate the AI and agentic capabilities its customers want, and framed it as the outcome of a thorough review of strategic options that delivers immediate and premium cash value to stockholders.

Certainty, timing and what still has to happen

The transaction is expected to close in the first quarter of 2027, subject to customary closing conditions, including the receipt of required regulatory approvals and the approval of CCC stockholders. Critically for deal certainty, the transaction is not subject to a financing condition, and J.P. Morgan is lead arranger of committed financing for the transaction. Until the transaction closes, CCC remains publicly traded and will continue operating as an independent company; upon completion, CCC will become a privately held company and its common stock will no longer be listed on the Nasdaq. Morgan Stanley is financial advisor and Kirkland & Ellis legal counsel to CCC; J.P. Morgan is lead financial advisor to GTCR, with Citi also serving as financial advisor, Simpson Thacher & Bartlett is legal counsel to GTCR, and Gibson, Dunn & Crutcher and Debevoise & Plimpton are legal counsel to Elliott.

The buyers, and the next dated tests

GTCR, founded in 1980, has invested more than $35 billion in over 300 companies and currently manages $45 billion in equity capital; Elliott manages approximately $80.3 billion of assets as of June 30, 2026. Both buyers pointed to the same asset in their statements: CCC's position at the center of the insurance and repair ecosystem, and the data advantages and network benefits that come with it. The next dated test arrives quickly — CCC will release its third quarter 2026 financial results on October 29, 2026, and, in light of the pending transaction, will not host a conference call or webcast to discuss them. After that, the story is approvals: the stockholder vote, the regulatory clearances, and whether the first-quarter 2027 closing window holds.
