FleetPartners Backs SG Fleet's A$5.30-a-Share Takeover, Valuing the Fleet Group at A$1.13 Billion

The binding scheme deed ends a contest that began with SG Fleet's A$3.60 approach in July, pays an 87.3% premium to the undisturbed price, and still needs regulators in two countries, an expert and a February vote.

What “Source checked” means

Australia's fleet-leasing auction is over — SG Fleet won it by paying A$0.65 a share more than the best rival proposal on the table.

FleetPartners Group Limited (ASX: FPR) announced on Monday, October 19, 2026 that it has entered into a binding Scheme Implementation Deed with SG Fleet Management Pty Limited, under which SG Fleet will acquire 100% of the fully paid ordinary shares in FleetPartners by way of a scheme of arrangement. FleetPartners shareholders will receive A$5.30 in cash for each share they hold, implying an equity value for FleetPartners of approximately A$1.131 billion. SG Fleet is owned and controlled by funds managed and advised by Pacific Equity Partners, and the FleetPartners board unanimously recommends the scheme, in the absence of a superior proposal and subject to the independent expert concluding that it is in shareholders' best interests.

An auction that started at A$3.60 ended at A$5.30

The price was built in an auction, not a negotiation. SG Fleet's first move came after market close on Friday, July 31, 2026 — an unsolicited, indicative, non-binding offer of A$3.60 per share from SG Fleet Topco Limited, disclosed on August 3. Element Fleet Management and ORIX Corporation also put proposals to the board, and a consortium of Sumitomo Corporation and Sumitomo Mitsui Auto Service joined them on August 25 at A$3.85 per share. By September 14 the leading revised non-binding proposals had reached A$4.65 a share; the signed A$5.30 sits A$0.65 above them.

Measured against the market price before any of this was public, the premium is large: A$5.30 is an 87.3% premium to FleetPartners' last undisturbed closing price of A$2.83 on July 31, 2026, and about 47% above the A$3.60 a share SG Fleet first proposed. Reuters reported the deal sent FleetPartners shares to a record high on Monday.

Dividends come off the price — the franking credits do not

Shareholders may still receive cash from FleetPartners itself before the deal completes; it just reduces what SG Fleet pays. The deed permits an FY26 final dividend of up to A$0.14 per share and a special dividend of up to A$0.12 per share, and the A$5.30 consideration will be reduced by any such dividends paid before implementation — but not by the value of the franking credits attached to them, which shareholders keep. Whether to pay them, and how much, remains the board's call; FleetPartners intends to determine the final dividend alongside its FY26 results. The deed also carries customary exclusivity — no-shop, no-talk and no-due-diligence obligations, with fiduciary carve-outs, plus notification obligations and a matching right for SG Fleet — and a reimbursement fee of A$11.24 million payable by FleetPartners in specified circumstances.

Four regulators, an independent expert and a February vote

What remains is approvals, in two countries. Implementation requires FleetPartners shareholder and court approval, regulatory clearances from the Australian Foreign Investment Review Board, the New Zealand Overseas Investment Office, the Australian Competition and Consumer Commission and the New Zealand Commerce Commission, an independent expert concluding — and continuing to conclude — that the scheme is in shareholders' best interests, no material adverse change, prescribed occurrence or regulatory event, and change-of-control consents for certain warehouse contracts. The scheme is not subject to any financing or due diligence conditions: SG Fleet will fund the consideration from existing cash on its balance sheet, debt and equity from funds managed or advised by Pacific Equity Partners.

The timetable is indicative: a scheme booklet with the independent expert's report is expected to reach shareholders in December 2026, the scheme meeting is expected in February 2027, and implementation is currently expected in March 2027. Until those steps run their course, the shares trade on the probability and timing of completion, not on the business alone.

Two fleet businesses, one owner

FleetPartners is a fleet management, vehicle leasing and salary packaging provider across Australia and New Zealand, serving corporate, government and not-for-profit customers. SG Fleet provides the same services — fleet management, vehicle leasing and salary packaging — across Australia, New Zealand and the United Kingdom. Chair Gail Pemberton said the board had reached the binding agreement 'at an attractive value for FleetPartners shareholders' after 'a comprehensive and competitive process', and SG Fleet chief executive Robbie Blau called the transaction 'a significant milestone for SG Fleet'. FleetPartners was advised by UBS Securities Australia and Herbert Smith Freehills Kramer.

What to watch is narrow and dated: the independent expert's conclusion in the December booklet, the four regulatory decisions, any superior proposal that tests SG Fleet's matching right, and the February vote. If they clear, a contest that opened at A$3.60 in July closes at A$5.30 in March.
