What “Source checked” means

Trilogy Metals Inc. (NYSE American/TSX: TMQ) closed a strategic equity investment by the United States Department of War on September 11, 2026, bringing the U.S. Government in as an approximately 10% shareholder, according to the company's closing disclosure and news release. Trilogy sold roughly $17.8 million of newly issued units. A concurrent transaction with South32 brings the company's stated aggregate investment to approximately US$35.6 million (Form 8-K AccNo 0001104659-26-107442).

The distinction between those two legs matters: the $35.6 million headline covers transactions with both Trilogy and South32, rather than cash paid entirely to Trilogy. Both companies committed the full proceeds of their respective transactions to Ambler Metals LLC, their equally owned joint venture, to advance exploration and development of the Upper Kobuk Mineral Projects in northwestern Alaska.

The primary sale and warrant terms

Item 8.01 of Trilogy's Form 8-K says the company sold the investor 8,215,570 units at $2.17 each for approximately $17.8 million. Each unit comprises one common share and three-quarters of one common share purchase warrant. The warrants allow the purchase of up to 6,161,678 additional common shares at $0.01 per share over ten years. The filing confirms completion of the investment, including issuance of the warrant, on September 11.

Those warrants provide a separate route to additional shares beyond the common shares issued at closing. Their issuance does not establish that they have been exercised. The company's approximately 10% government ownership description should also be read as its stated ownership framing; the verified disclosures summarized here do not establish an exact post-close fully diluted ownership percentage.

The closing follows the Investment Agreement dated August 28, which Trilogy summarized in a signing Form 8-K filed August 31. The subsequent closing filing appeared on EDGAR on September 14 at approximately 14:36 ET. September 11 remains the transaction's closing date.

South32's concurrent transaction

The September 11 release reports US$17,827,787 of consideration for the Department of War's transaction with South32. Its early-warning disclosure says South32's beneficial ownership fell from 18,595,311 Trilogy shares, or approximately 10.7%, to 10,379,741 shares, or approximately 6.0%, on a non-diluted basis. This concurrent leg accounts for the other roughly $17.8 million in the aggregate investment.

The release also describes a ten-year option after closing for the Department of War to purchase 6,161,678 Trilogy common shares from South32 at US$0.01 per share, subject to the transaction terms. That option concerns shares held by South32. It is distinct from the company-issued warrants accompanying Trilogy's primary unit sale, even though the disclosed share count, exercise price and duration match.

Proceeds directed to Alaska projects

Ambler Metals is a 50/50 joint venture between Trilogy and South32. Its Upper Kobuk Mineral Projects cover approximately 190,929 hectares and include the Arctic polymetallic deposit and the Bornite copper-cobalt deposit. The commitment of both companies' proceeds directs the transaction's funding toward exploration and development at that joint venture.

The closing therefore marks a completed government equity investment with a stated project-level use of proceeds. It does not establish a production start date or resolve the separate infrastructure and permitting work described in the release. Those distinctions are material when assessing what the completed financing changes for the projects.

On infrastructure, Trilogy says the Department of War committed to work in good faith to help facilitate financing for the proposed 211-mile, industrial-use-only Ambler Road, in coordination with the State of Alaska and AIDEA. That is a financing-facilitation commitment; the release does not establish that road construction is funded, finally permitted or underway.

The company also places the closing after an April 2026 Clean Water Act Section 404 permit application to the U.S. Army Corps of Engineers for Arctic and the project's May 15 acceptance as a FAST-41 Covered Project, with a timetable on the Federal Permitting Dashboard. Rights accompanying the investment

At closing, Trilogy entered a September 11 Participation Rights Agreement providing pro rata subscription rights on future equity sales and a Registration Rights Agreement providing customary registration rights.
