Forgent says fiscal first-quarter revenue and adjusted EBITDA will top the high end of guidance

The beat is against quarterly ranges the filings do not disclose; its size cannot be calculated. September 15 annual guidance, unchanged at $2.4 billion to $2.6 billion of revenue and $575 million to $625 million of adjusted EBITDA.

Forgent Power Solutions said on October 22 that revenue and adjusted EBITDA for its fiscal first quarter will land above the top of the ranges it had previously given, a pre-announcement that arrived three weeks before the quarter is reported and carried no figure for either measure. The immediately preceding quarter had also cleared the high end of the guidance the company gave in May, on revenue, adjusted EBITDA and adjusted net income. The electrical-equipment maker (NYSE: FPS) reports results for the period ended September 30, 2026, before the market opens on November 12, 2026.

The company told investors the quarter was better than planned and then, unusually, left the size of the improvement out of the document. What remains is a filing that has to be read against the annual plan it sits inside.

A scheduling notice with the size of the beat missing

Exhibit 99.1 to the October 22 filing is a scheduling notice with a headline on top: it gives the report date, the 11:00 a.m. ET call time, the statement that revenue and adjusted EBITDA for the quarter “will exceed the high end of its previously provided guidance ranges”, a description of the business and forward-looking boilerplate. It does not repeat the quarterly ranges Forgent says it exceeded. The September 15, 2026 release that set the annual targets gave only annual ranges, so neither document lets a reader compute how far above the old top the quarter landed, in dollars or in percent.

The first quarter sits at the bottom of a rising plan

Forgent set fiscal 2027 guidance on September 15 at $2.4 billion to $2.6 billion of revenue, $575 million to $625 million of adjusted EBITDA and $1.26 to $1.40 of adjusted EPS, and told investors to expect quarterly revenue and adjusted EBITDA rising consecutively through the year: “The Company expects quarterly revenue and Adjusted EBITDA to increase consecutively through the year.” The same release flagged front-loaded spending. “The Company’s first quarter results will include significant investments in personnel and facilities to support the production ramp in subsequent quarters.” A first quarter that comes in above the high end of its own range clears the lowest bar in the company's own sequence. The fourth quarter of fiscal 2026 is a different baseline rather than a higher bar: the plan puts every quarter of fiscal 2027 above the one before it, and that final quarter produced $462 million of revenue, $1.5 billion of bookings and a book-to-bill ratio of 3.3x, with $3.0 billion of backlog at June 30, 2026. The floor of the annual revenue range is 69% above fiscal 2026 revenue of $1.42 billion; the ceiling is 83% above it.

Margins the annual range already assumes

Fiscal 2026 adjusted EBITDA of $323 million on revenue of $1.42 billion was a 22.7% margin, and the fourth quarter's $113 million on $462 million reached 24.4%. The fiscal 2027 range does not let the margin slip: $575 million at the bottom of the revenue range works out to 24%, and the top end lands at the same level. The plan therefore asks for a step up from the full year and for the fourth quarter's margin to hold, with the Tijuana capacity not expected online until the fourth quarter of fiscal 2027.

Capacity headroom above this year's numbers

The $35 million expansion at Tijuana lifts total revenue capacity to approximately $5.8 billion, an increase of approximately $800 million, once it runs in the fourth quarter of fiscal 2027. The $2.6 billion top of the fiscal 2027 revenue range is therefore well below the capacity the company expects to have by the end of that year; the expansion adds headroom beyond the guided range. Powertrain Solutions revenue grew 259% in fiscal 2026 and was nearly one-third of fourth-quarter revenue, the company said.

The November 12 release has to carry the figures

The next dated disclosure is the press release before the market opens on November 12, 2026, followed by the 11:00 a.m. ET call. It has to answer what this notice leaves open: whether Forgent lifts the annual ranges rather than merely clearing the quarterly share of them, how much first-quarter revenue and adjusted EBITDA beat the old top, and whether the personnel and facilities spending flagged in September showed up as the margin cost the plan allowed for. The October 22 exhibit also carries no backlog, bookings or cash-flow update, so the numbers in public hands are still the ones from the September release.

The pre-announcement also followed two other October 22 filings by hours: a Form 8-K under Item 5.02 accepted that morning at 7:00 a.m. ET and a Form 8-K/A under the same item accepted in the afternoon. A transition release filed with the morning 8-K said that Amy Ard, the company's executive vice president of finance, was named chief financial officer and that Ryan Fiedler would step down as chief financial officer and move to an external consulting role. The guidance release does not mention the change, and nothing in the filings connects the two events.
