Forgent amends its CFO-exit 8-K to say Fiedler's departure was not a disagreement

The amendment, filed the same day as the original report, adds the no-disagreement statement the first filing omitted; successor Amy Ard gets a $550,000 base salary and a performance-based bonus reaching 85% of it.

Forgent Power Solutions, Inc. used a same-day amendment to its latest current report for one purpose: to say that its chief financial officer's exit was not a disagreement with the company. The Form 8-K/A, filed October 22, 2026, adds a single new statement the earlier filing lacked, and the statement names financial reporting among the subjects on which the departing executive and the company did not differ.

The amendment changes an Item 5.02 report Forgent had filed earlier on October 22, 2026, which disclosed that the company and Ryan Fiedler agreed on October 21, 2026 that he would step down as chief financial officer effective that date. The new text states that Fiedler's departure “was not the result of any disagreement with the Company on any matter relating to the Company’s operations, policies or practices, including its financial condition, accounting principles or financial reporting.”

A clarification that names financial reporting

The clause matters because of the list attached to it. Forgent did not limit the disclaimer to strategy or management style; it extended the statement to financial condition, accounting principles and financial reporting, the territory investors examine when a finance chief leaves. The Item 5.02 text gives no reason for the exit and describes no dispute; the amendment makes that absence explicit rather than something a reader has to infer. The press release Forgent furnished with the original report under Item 7.01 does supply a reason: “Ryan Fiedler will step down as Chief Financial Officer and transition to an external consulting role, enabling him to spend more time with his family while continuing to support Forgent.”

Forgent is a Delaware corporation whose Class A common stock, par value $0.00001 per share, trades on the New York Stock Exchange under the symbol FPS, according to the cover of both reports. Chief Legal Officer Tyson K. Hottinger signed each document on October 22, 2026, and the amendment states that it does not “modify or update any other disclosure in the Original 8-K.” SEC EDGAR's filing history dates the original report and the amendment to the same day.

What the exit pays, and what the successor is owed

The Separation and Release Agreement dated October 21, 2026 replaces Fiedler's contractual severance rather than adding to it. Under the original report he receives “all base salary earned but unpaid through the Separation Date and a lump sum payment for any vacation time accrued and unused through the Separation Date (to the extent payable under the Company’s applicable written policies)”, which the filing sets “in lieu of the severance payments and benefits provided under Mr. Fiedler’s Amended and Restated Employment Agreement” dated January 12, 2026. His unvested incentive units in Forgent Parent I, II and III stay outstanding and keep vesting, with the payout from those funds capped at the reserve balance attributable to the units as of the October 21 effective date — a balance the separation agreement puts at $9,818,763.

Amy Ard, 52, took the CFO title on the same October 21 date. She had been executive vice president, finance since January 2026, and before that was interim CFO of PwrQ from October 2023 to December 2025, interim CFO of Powin Energy from February to October 2023, CFO of Tonal Systems from December 2021 to November 2022, and CFO of Proterra from May 2017 to November 2021.

Her package, as the original report describes it, is a $550,000 annual base salary, a cash bonus that can reach 85% of salary, contingent on corporate performance goals and determined by the board or its compensation committee, and eligibility for annual equity grants under the 2026 Equity Incentive Plan. At the stated salary the cap works out to $467,500. A one-time grant with a target value of $500,000 is scheduled for November 1, 2026, split evenly between restricted stock units and stock options, or about $250,000 of each at target.

Three limits belong beside those numbers. Forgent “expects to enter into” Ard's employment agreement, so the five-year initial term and the automatic one-year renewals described in the report were not yet executed. The severance description is qualified in its entirety by the Separation and Release Agreement filed as Exhibit 10.1, whose Section 3(b) fixes the unit-payout cap and bars any partial or pro rata vesting between vesting dates. And the $9,818,763 ceiling on the incentive-unit payout is a reserve balance measured on October 21, 2026, so the agreement caps the dollars he can collect from those funds even though it does not say what the units would be worth if the business outperformed.

The amendment is narrow by design. It repairs a single Item 5.02 statement and leaves untouched the Item 7.01 press release furnished with the original report. Neither filing discloses a market reaction, and this account makes no claim about one.

Dates that settle the record

Fiedler's employment ends on October 30, 2026, the separation date the agreement sets. The one-time equity grant is dated November 1, 2026. The operative contract is Exhibit 10.1 to the October 22, 2026 report, which carries the release terms behind the capped payout. Forgent also furnished a separate current report under Item 2.02 on October 22, 2026 — a release announcing that the company “will report financial results for its fiscal first quarter ended September 30, 2026, before the market opens on November 12, 2026” and that its revenue and adjusted EBITDA will exceed the high end of previously provided guidance ranges — which the EDGAR submissions index shows was accepted at 00:17 UTC on October 23. Those fiscal first-quarter 2027 results are the next dated disclosure in the record.
