Dorchester Minerals to issue 1,250,000 units for 4,300 Williston net royalty acres

At the contribution agreement's $29.44 Execution Price, the units imply $36,800,000; closing is expected October 30, 2026, with cash receipts from July 1 onward contributed to the partnership.

DMLPLatest quote

Dorchester Minerals, L.P. agreed on October 16, 2026 to take mineral and royalty interests across roughly 4,300 net royalty acres in North Dakota's Williston Basin from Hillside Exploration Assets, LLC, paying 1,250,000 common units instead of cash, according to the Form 8-K the partnership filed on October 20, 2026. The agreement's $29.44 Execution Price implies $36,800,000 of consideration, and the partnership expects to close the contribution on October 30, 2026.

The counterparty is a Texas limited liability company, and the filing answers the related-party question in a single sentence: "No material relationship exists between the Partnership and the Contributor." The properties are mineral and royalty interests in producing and non-producing oil and natural gas properties representing "approximately 4,300 net royalty acres across the Williston Basin in North Dakota".

A Williston package paid for in common units

The structure is a contribution rather than a purchase. Hillside conveys the interests and Dorchester issues units; the release dated October 19, 2026 calls the vehicle a "non-taxable contribution and exchange agreement with an unrelated third party" and states that "Cash received by the contributing entity attributed to the acquired interests on or after July 1, 2026, will be contributed to the Partnership at closing." That clause matters for a royalty owner: Dorchester collects the revenue that accrued on the acres from midyear forward, not just from closing day, and the agreement sets July 1, 2026 as the reference date for the split of proceeds and asset taxes. Costs and expenses run on a different clock: the contributor bears those incurred before closing and the partnership those incurred on or after it, with the partnership taking on all of them twelve months after closing regardless of the period they belong to.

The release describes Dorchester as a Dallas-based owner of mineral, royalty, overriding royalty, net profits and leasehold interests in 28 states, with units on the Nasdaq Global Select Market under DMLP. The filing reports 8-K items 1.01, 7.01 and 9.01, with the agreement itself filed as Exhibit 2.1 and the release furnished as Exhibit 99.1.

A $29.44 Execution Price and $36,800,000 implied

The agreement never prints a purchase price. It fixes the consideration in units: "The aggregate consideration for the contribution of the Properties shall be one million, two hundred fifty thousand (1,250,000) Common Units". It separately defines an Execution Price of $29.44 and uses that price in several provisions, in both directions: to turn held-back units into cash after a late title cure, to divide a stated liability by the price when the contributor settles an indemnity claim in Common Units, and to cap exposure. Section 9.4(b) holds that the contributor's liability "shall not exceed the Base Subject Units multiplied by the Execution Price", which is the agreement's own dollar equivalent of the consideration. Applying the Execution Price to the unit count gives $36,800,000, which is the desk arithmetic rather than a figure either document states.

What is absent deserves as much attention as the arithmetic. The release carries no fairness opinion, reserve report, production volumes, revenue, cash flow or valuation for the acquired acres. No unit price or trading level appears in it either. The register, by contrast, is disclosed: the agreement states that "the issued and outstanding limited partner interests of the Partnership consist of 49,091,408 Common Units", so the 1,250,000 new units equal about 2.55% of the pre-issuance count, or 2.48% of the enlarged register of 50,341,408 units.

Title adjustments and units held back for indemnity

Consideration is not fixed in stone. Dorchester could assert title defects up to a deadline of October 16, 2026, and where a defect is not cured before closing, "there shall be a downward adjustment to the Base Subject Units at Closing in an amount equal to the Defect Amount asserted by the Partnership". Unresolved disputes go to a neutral title attorney, and the conveyances carry a special warranty of title for two years after closing.

The contributor backs its indemnity with units rather than cash: it agrees that "it shall, during the Holdback Period, retain the Lock Up Units", and claims are satisfied first from those units before any cash moves. How many units are held back, and for how long, sits in Schedule 9.2, which the filed exhibit does not reproduce: its schedules and exhibits are marked as attached elsewhere rather than printed in the filed text. Both sides also agree to treat the exchange as a contribution under Section 721(a) of the tax code, consistent with the release's description of the transaction as non-taxable.

October 30 closing and a November 13 outside date

Closing is expected on October 30, 2026, subject to conditions that include no blocking injunction or legal order, the registration statements staying effective, and delivery of releases for mortgages and other encumbrances on the properties. Either side may abandon the agreement if "the Closing has not occurred on or before November 13, 2026", and willful-breach claims survive termination.

For unitholders, the calendar carries most of the information the release withholds: the issuance either adds 1,250,000 units at the end of October or lapses by mid-November. Dorchester's next periodic report is where the issued units, any defect adjustment and the acquired acres' contribution to receipts would first be quantified.

An acquisition notice, not a results report

The filing is a contract disclosure, not an earnings document. Item 9.01 lists only the agreement, the press release and the cover-page data file, with no financial statements, no pro forma figures and no production data for the acquired interests. That absence is why there is no year-over-year or sequential comparison here: these documents carry no revenue, volume or per-unit measure to set against an earlier period. Dorchester's quarterly distribution notice is a separate document and is not part of this filing.
