Conduent Incorporated agreed on October 16, 2026 to fund an $80 million settlement of the class action over a January 2025 data breach that exposed private information of approximately 62 million people, according to the Form 8-K filed that day. The accord needs court approval and denies liability; Conduent says it carries cyber insurance and does not expect the payment to change its financial position, results of operations or cash flows in a material way.

Conduent Incorporated, Conduent Business Services, LLC and Conduent State & Local Solutions, Inc. entered the Class Action Settlement Agreement and Release on October 16, 2026. The 8-K treats the payment as one obligation; Exhibit 10.1, the 109-page agreement, sets out how the money is divided among claimants, monitoring vendors, class counsel and the administrator.

Claims, monitoring and fees all draw on the same $80 million

The $80 million is a gross figure rather than a claims-only pool. Cash payments for documented losses are capped at $3,500 per class member. The agreement splits the class in two: Subclass A members, whose data was stored in a way that made it harder to reach, get monitoring without filing anything, while Subclass B, about 22 million people whose files were readily accessible, receive medical data monitoring and may elect a pro rata cash payment, with a 20% increase in that payment for members who lived in California on October 21, 2024. "Subclass A will automatically, without having to submit a Claim, receive one year of Credit Monitoring." Class counsel will ask the court for as much as 34% of the fund, which is $27.2 million at that ceiling, plus costs and service awards for the class representatives. A smaller fee award does not reopen the deal.

A breach that reached about 62 million people

The agreement's background dates the intrusion to on or about October 21, 2024, when an unauthorized third party entered Conduent's networks; the company says it discovered the access on or about January 13, 2025. Files taken in the incident held private information of approximately 62 million individuals, and notification letters began going out in October 2025. More than 30 putative class actions followed from October 27, 2025, and the complaints were consolidated on November 24, 2025 before Judge Michael E. Farbiarz in the U.S. District Court for the District of New Jersey.

Insurance is cited, but the filing leaves the policy blank

Conduent tells shareholders that "the Company maintains cyber insurance and does not expect this settlement to have a material impact on its financial position, results of operations or cash flows." The filing gives no policy limit, retention, insurer confirmation or accrued reserve, and it files no financial statements at all. Its forward-looking-statement cautions list "availability and timing of cyber insurance recovery" among the factors that could change that outcome.

Court approval, not the signature, starts the clock

The settlement is not an admission: "Conduent does not in any way acknowledge, admit to, or concede any of the allegations made in the Amended Consolidated Complaint". Nothing is payable until the court acts. Plaintiffs must move for preliminary approval, notice follows no more than 40 days after that order, and the objection and exclusion deadlines come from the court; the proposed preliminary approval order filed with the agreement sets the final approval hearing in 2027, at least 150 days after preliminary approval, and leaves the month and day blank. The funding trigger comes earlier than that hearing: Conduent must put the full $80 million into escrow within 14 days after the court grants preliminary approval, and any remainder is returned to the company only if final approval or the effective date fails. Approval would release the company, its affected clients and those clients' customers. Money left 180 days after payments go to a cy pres recipient approved by the court. The documents to watch are the preliminary approval motion and Conduent's next Form 10-Q, where any accrual or insurance receivable would be expected to show up.
