Conduent closes $447 million refinancing, extending revolver maturities to May 2029
Conduent rolled its $357 million revolver into $357 million of second-out facilities and added $75 million of first-out commitments plus a $15 million letter of credit line, with the two revolver tranches now maturing May 31, 2029.

Conduent Incorporated Form 8-K filed October 23, 2026, including Exhibit 99.1, and the SEC EDGAR filing index for that report.
Based on Conduent's Form 8-K filed October 23, 2026 and the refinancing release furnished as its Exhibit 99.1; no quarterly financial results were included in either document.
Conduent Incorporated said on October 23, 2026 that it closed a $447 million refinancing of its senior secured revolving credit facilities, extending revolver maturities that had run to October 2026 and May 2028 out to May 31, 2029 and adding $90 million of commitments from existing bank lenders. The business-process outsourcer also repaid $62 million to lenders from the proceeds of its Public Transit sale, and its new credit agreement requires a receivables or securitization facility of at least $100 million by December 31, 2026.
Conduent Incorporated closed a $447 million refinancing of its senior secured revolving credit facilities on October 23, 2026, according to the Form 8-K it filed that afternoon and the release furnished as Exhibit 99.1. The transaction extends revolver maturities that had run to October 2026 and May 2028 out to May 31, 2029 and adds $90 million of commitments from banks already in the facility.
The filing is a capital-structure document, not a quarterly earnings report. Its four disclosure items cover entry into a material agreement, termination of the old revolver commitments, creation of a direct financial obligation and a Regulation FD disclosure; the exhibit carries no revenue, profit, cash-flow or guidance figure.
Three facilities replace one revolver
The old structure was $357 million of senior secured revolving credit commitments. It gives way to three pieces under a new credit agreement signed by two indirect subsidiaries, Conduent Government Holdings I LLC and Conduent Government Holdings II LLC: a $75 million first-out revolver, two second-out revolvers with $357 million of aggregate commitments, and a $15 million backstop performance letter of credit facility. The pieces sum to $447 million, so total commitments are 25.2% above the $357 million base, and the added commitments are the $90 million the filing describes. The amendment also reduced the existing performance letters of credit commitments by an amount the filing does not quantify. Separately, Conduent repaid $62 million to certain of the existing lenders under the second-out facilities from Public Transit sale proceeds, and the filing says the second-out commitments will be reduced further as amounts from the Public Transit and Tolling sales are applied.
Pricing is split by seniority. First-out loans pay term SOFR plus 4.00%, or the base rate plus 3.00%. Second-out loans pay SOFR plus 3.00%, or the base rate plus 2.00%. Draws on the letter of credit facility cost the second-out rate plus 2.00%, and the revolvers carry a 0.50% commitment fee. No first-out amount was drawn at closing.
Maturities stretch to 2029 as collateral is recut
The two new revolver facilities mature on May 31, 2029, past the October 2026 maturity the company faced and past the May 2028 date attached to the other commitments. The letter of credit facility is different: loans there are due on demand, and the filing attaches no maturity date to it. The refinancing also rearranges the borrower group: assets tied to Conduent's government health services and eligibility and enrollment businesses were contributed to the new borrower, and those subsidiaries were released as guarantors and collateral grantors under the old agreement while remaining wholly owned. The new obligations carry a first-priority lien on the new entities' assets, while an intercompany facility that lends onward to the operating companies ranks alongside Conduent's 6.00% senior secured notes due 2029.
Conduent presents the deal as one leg of a broader deleveraging. The completed Public Transit sale and the announced Tolling sale, together with the refinancing, are expected to shrink the surety bond and letter-of-credit portfolio by approximately $550 million once Tolling closes.
"Deleveraging and de-risking are important priorities as we advance ASCEND 2026–28." Chief Executive Harsha V. Agadi said in the release that the company had "extended our maturities, secured additional commitments from our banking partners and used divestiture proceeds to repay debt."
A $100 million factoring test lands on December 31
The credit agreement carries a covenant with a hard date. Unless the borrower and its subsidiaries have entered a qualified securitization or receivables financing facility of at least $100 million by December 31, 2026, or up to 45 days later if the required lenders agree, the agreement treats the miss as an event of default, and the same applies if the condition fails later. The package also imposes leverage and liquidity tests on Conduent, a minimum Adjusted EBITDA test on the new borrower, and mandatory prepayment from asset-sale proceeds.
The extension itself is already effective. What stays contingent is the relief the release headlines: the approximately $550 million reduction in surety bond and letter-of-credit exposure, which the release ties to the portfolio actions and the refinancing together, arrives only upon completion of the announced Tolling sale.
No quarterly figures in the release
Readers looking for third-quarter revenue or earnings will not find them in this exhibit. The announcement covers the closing only, and it leaves out the Tolling sale price, total debt outstanding and any rating action. Operating performance for the quarter is not addressed anywhere in the filing.
The next dated checkpoint in the documents is the December 31, 2026 factoring deadline. The open one is completion of the Tolling sale, the condition the release attaches to the portfolio reduction described above.
