Deal terms are from Workday's Oct. 13, 2026 Form 8-K and Exhibit 99.1. The agreement date is Oct. 12, 2026; announcement date is Oct. 13. This is a signed definitive agreement subject to customary closing conditions, not a completed acquisition. No purchase price was disclosed. WDAY last/change figures are CNBC quote data as of about 2:34 p.m. Eastern on Oct. 13, 2026; Yahoo Finance delayed chart data is used as a second market check. The 95% autonomous-agent figure is attributed to C1.ai research and the 21% mature-governance figure to Deloitte's State of AI research, both as stated in Workday's release.
Workday said Tuesday it has signed a definitive agreement to acquire C1.ai, an identity platform meant to control what employees and AI agents can reach across enterprise systems. The companies did not disclose a purchase price, and Workday said the deal is expected to close in the fiscal quarter ending Jan. 31, 2027, subject to customary conditions.
The deal Workday announced
Workday said it has signed a definitive agreement to acquire C1.ai, which it described as a leading agentic identity platform for people and agents. In the Form 8-K filed Tuesday, Workday said it entered into that agreement on Oct. 12 with ConductorOne, Inc. — the legal name behind the C1.ai brand — and certain other parties, and that it will acquire all of the outstanding capital stock of C1.ai subject to customary closing conditions.
Neither the press release nor the 8-K disclosed a purchase price, an earnout, or how Workday plans to pay. The companies said the transaction is expected to close in the fourth quarter of Workday's fiscal year 2027, which ends Jan. 31, 2027, again subject to customary conditions. BofA Securities is financial advisor to Workday and Orrick is its legal advisor; Qatalyst is financial advisor to C1.ai and Ashurst Perkins Coie is its legal counsel.
Why identity for AI agents is the pitch
Workday framed the deal as an extension of how it already sits in HR, finance and IT. C1.ai's research says 95% of large U.S. companies already run autonomous agents, while Deloitte's State of AI research finds only 21% report a mature way to govern them.
C1.ai's product, as described by Workday, connects to systems such as email, CRM, code repositories, finance systems and cloud infrastructure so each person and agent gets the right access at the right time and loses it when it is no longer needed. Workday said its Agent System of Record already gives companies one place to see and manage their agents.
Gerrit Kazmaier, Workday's president of product and technology, said today's companies run on a combined workforce of people and AI agents. Alex Bovee, CEO and co-founder of C1.ai, said enterprises cannot secure the AI era using yesterday's IT tickets.
What the market did with the news
Workday shares were last at $185.68 as of about 2:34 p.m. Eastern on Tuesday, down $2.57, or about 1.4%, from Monday's close of $188.25, according to CNBC quote data. Yahoo Finance's delayed daily chart showed a similar session, with Tuesday's last print near $185.68 after Monday's close of $188.25. The move is modest compared with same-day financing stories that reprice dilution risk; investors here are reacting to an agreement without a disclosed price tag.
Workday said more than 11,500 organizations worldwide, including more than 65% of the Fortune 500, use its platform — context for why an identity bolt-on matters to the company, not a measure of C1.ai's installed base. The release did not say how large C1.ai is, how many customers it has, or whether the deal needs a shareholder vote.
Why this acquisition matters now
Enterprise software buyers are adding AI agents faster than they are building identity controls around them. Workday already wants to be the system of record for people, money and agents; buying C1.ai is an attempt to own the access layer those agents need once they leave Workday's own apps. That is a product thesis more than a disclosed financial thesis: without a price, revenue multiple, or cost synergies in the filing, readers cannot judge how expensive the bet is.
Agreement is not close. Workday still has to satisfy the customary conditions it flagged, and the companies have not said which regulators, if any, must clear the deal. Until closing, C1.ai remains a separate company, and Workday shareholders should treat Tuesday's announcement as a signed definitive agreement — not a completed acquisition.
Workday plans to buy C1.ai, a tool that manages access for workers and AI agents
Workday, the software company known for HR and finance systems, said it has signed a deal to buy C1.ai (legal name ConductorOne). C1.ai helps companies decide which people and AI software agents can use email, customer systems, code tools and cloud accounts — and when to cut that access off. Workday did not say how much it will pay. The companies hope to finish the deal in the quarter that ends Jan. 31, 2027, if closing conditions are met. Workday shares were down about 1.4% in afternoon trading.
