Williams-Sonoma appoints NYSE Group president Lynn Martin to its board

The board approved her seat on October 16, 2026, effective October 19, 2026. The 8-K cites the May 6, 2026 proxy: a fiscal 2025 standard of $100,000 in cash and $190,000 in restricted stock units, pro-rated for year one.

WSMLatest quote

Williams-Sonoma appointed Lynn Martin, president of NYSE Group, to its board of directors effective October 19, 2026, the company said in a release filed as an exhibit to a Form 8-K. The board approved the appointment on October 16, 2026; the filing reports a board change rather than quarterly results, and it carries no revenue, earnings or guidance figures.

A seat that begins on the day it is announced

Williams-Sonoma's board approved Lynn Martin's appointment on October 16, 2026, and made it effective October 19, 2026, the day the company announced it and filed the Form 8-K that carried the announcement as an exhibit. The filing detail for that report lists two items, the director appointment and the exhibit list. There are no revenue, earnings, margin or guidance figures in the document, so there is no prior period for a comparison.

Martin runs the New York Stock Exchange. The release calls her “current President of NYSE Group, a wholly owned subsidiary of Intercontinental Exchange, Inc. (NYSE: ICE),” and says she “leads the New York Stock Exchange” while she “oversees NYSE’s equities and options exchanges and serves as Chair of ICE Fixed Income & Data Services.”

Her career has run through the same corporate family: president of Fixed Income & Data Services at ICE, president of ICE Data Services, chief operating officer of ICE Clear U.S., and chief executive roles at NYSE Liffe U.S. and New York Portfolio Clearing. She began her career at IBM in its Global Services organization, the release says.

Director pay lives in the proxy, not in the filing

The 8-K attaches no dollar figure to the seat itself. It says Martin “will receive the standard compensation available to the Company’s current non-employee directors,” as described in the proxy statement filed May 6, 2026, “but on a pro-rated basis for the initial year.” The same passage adds a non-cash term: the company “will also enter into its standard form of indemnification agreement with Ms. Martin,” which it says is on file as an exhibit to its September 9, 2011 quarterly report.

That proxy puts numbers on the standard. For fiscal 2025 the annual cash retainer for board service was $100,000, the annual equity grant was $190,000 in restricted stock units, and the stockholder-approved cap on total annual director compensation was $750,000. Directors are also required to hold at least $400,000 of company stock by the fifth anniversary of joining the board.

Two timing rules shape a mid-year arrival. Cash is paid in quarterly installments, and the proxy says directors appointed after the most recent annual meeting “receive an equity grant on the appointment date on a prorated basis” sized to the days they are scheduled to serve. That formula, rather than a flat grant, sets Martin's first-year equity, and the 8-K does not compute the figure.

Why a retailer would want an exchange operator

Chief executive Laura Alber framed the hire around execution. “Lynn is an exceptional leader who has built her career at the forefront of technology, data, and the capital markets,” she said, calling Martin's experience guiding complex organizations valuable as the company continues to execute “our growth strategies”.

Board chair Scott Dahnke, who has held that role since June 2020, added the public-company argument: “Lynn’s experience leading the New York Stock Exchange and understanding of public companies will bring an important perspective to our Board” through continued support of the company's long-term growth.

The commercial setting is the company's own description of itself: a home retailer with ten brands, from Williams Sonoma and Pottery Barn to West Elm and GreenRow, sold through e-commerce, catalogs, stores and business-to-business channels, alongside The Key Rewards loyalty and credit-card program. Data, technology and regulated-industry oversight are the areas the release assigns to Martin. It does not tie the appointment to a named initiative, and it carries no financial targets, so the board's own reason for the timing is unstated.

What the documents leave open

The proxy filed in May put forward eight director nominees, seven of them independent, and its board skills matrix lists the same eight: Laura Alber, the chief executive, plus Esi Eggleston Bracey, Andrew Campion, Scott Dahnke, Anne Finucane, Arianna Huffington, William Ready and Frits van Paasschen. Martin's appointment takes that board to nine. What the 8-K does not do is assign her to a committee or state how the board assessed her independence, the question worth naming because Williams-Sonoma's common stock trades on the New York Stock Exchange, the venue she runs.

Nothing in the filings describes a resignation, a committee reshuffle or a change in board leadership, and the 8-K does not quantify her first-year grant or state any stock ownership for her. The next scheduled read is the company's next proxy statement: under the one-year terms the 2026 proxy describes, her seat would next come up at the 2027 annual meeting.
