United Community Banks reported a third-quarter net loss of $139.7 million, or $(1.16) a diluted share, after a $366 million pre-tax loss on its securities repositioning and a $62 million pre-tax gain on the $2.0 billion sale of its Navitas equipment finance business. On an operating basis, which excludes both items and their tax effects, the Greenville, South Carolina-based bank earned $93.7 million, or $0.77 a diluted share, up from $0.71 a share in the second quarter.

Chairman and CEO Lynn Harton described the quarter as a deliberate reset rather than a stumble. "Our third quarter results reflect key strategic actions that simplify our balance sheet, reduce risk, and strengthen future operating performance", he said in the earnings release.

A $304 million pre-tax net charge sits between the GAAP loss and operating earnings

The reported numbers invert the usual pattern: a headline loss sitting on top of stronger operating earnings. Two transactions, only partly offsetting, explain most of the gap. Selling and reclassifying securities produced a $366 million pre-tax loss, while the Navitas sale produced a $62 million pre-tax gain, and the pair nets to a $304 million pre-tax loss. Because the securities loss swamps the divestiture gain, reported total revenue came in at $(12.0) million, against $292 million on an operating basis. A tax benefit tied to those items and $6.5 million of merger-related charges complete the walk from the $139.7 million net loss to $93.7 million of operating net income. The repositioning moved $2.2 billion of held-to-maturity securities to available-for-sale and sold $2.5 billion of long-dated holdings, generating $2.1 billion of proceeds that were reinvested or used to repay borrowings.

Core loans and deposits grew while the margin stopped widening

Growth came from the core bank and from the Peach State acquisition in roughly equal measure. Loans held for investment were $18.99 billion at September 30, down 0.98% from $19.18 billion a year earlier because Navitas left the balance sheet. Sequentially, loans rose $964 million from June 30. Excluding Peach State and Navitas, core loans rose $444 million, or 9.8% annualized, and new loan production topped $1 billion for a second consecutive quarter. Deposits were $24.89 billion, up 3.61% year over year; excluding Peach State, customer deposits rose $473 million, or 8.0% annualized. Peach State itself contributed $520 million of loans and $678 million of deposits. Net interest revenue rose 8% from a year earlier to $251.2 million as the margin held at 3.68%, 10 basis points wider than a year earlier and unchanged from the second quarter, the first quarter without expansion after six consecutive increases.

Credit costs stay low while capital absorbs the repositioning

Credit looked unremarkable, which is the point after a quarter of balance-sheet surgery. The provision for credit losses was $10.0 million in the third quarter, net charge-offs $4.0 million, or 0.09% of loans, and allowance coverage 1.05% of total loans, up one basis point from June 30, 2026. Nonperforming assets were 0.28% of total assets at September 30. Capital took the strain instead: preliminary Common Equity Tier 1 fell to 13.0% from 13.5%, tangible common equity to tangible assets slipped to 8.95% from 9.94%, and tangible book value per share fell 10.77% to $20.80 from $23.31. The bank still repurchased 1.395 million shares at an average price of $35.81 for $50 million, added a $100 million authorization through 2027 and now has $113 million available, and raised the quarterly common dividend to $0.26, up 4% year over year. Operating efficiency improved to 53.1% from 56.7%.

The fourth-quarter guide assumes a December rate increase

The earnings release carries no outlook; the investor presentation does. It puts fourth-quarter 2026 operating EPS at $0.80 to $0.83, against the $0.77 just reported, and the outlook "assumes a 25 bp rate hike in December 2026" — a company forecast conditioned on that assumption. Harton argued the pieces are in place, saying the strategies "position us very well for the future, as demonstrated by improvements in operating return on assets, return on tangible common equity, and operating efficiency ratio." The test arrives with the fourth-quarter report, when a full period of reinvestment into higher-yielding securities, at roughly 4.6%, and a full quarter without Navitas will show whether the repositioning earns back the book value it cost. The company discusses the quarter on a conference call at 8:30 a.m. ET on October 20, and the next dated document is its fourth-quarter 2026 earnings release.
