Monday Oct. 12, 2026, morning — Tencent's proposed dual-currency note offering (USD 10y/20y + offshore-yuan 10y/30y, no deal size, no binding agreement), the two bank syndicates, Monday investor calls, the June $4.66B four-part raise, and the professional-investor-only restriction were all verified against the Reuters October 12 report (term sheet seen by Reuters) and the company's HKEX announcement as carried by TipRanks. Headline states a proposal, never a priced deal; no figure is stated beyond the sourced ones.
As of Monday, Oct. 12, 2026, morning.
Tencent Holdings said on Monday it proposes to issue dollar- and offshore-yuan-denominated bonds under its global medium-term note programme, teeing up a second major debt raise in about four months — while stressing that no deal size has been fixed and no binding agreement has been entered into.
A proposed four-tranche structure
Tencent would sell senior unsecured notes in US dollars and offshore Chinese yuan, according to a term sheet seen by Reuters — a dual-currency structure pairing 10-year and 20-year dollar bonds with 10-year and 30-year offshore-yuan notes, with everything subject to market conditions.
Tencent says it will share recent corporate and financial information with potential investors, and the company has not set a deal size. Completion of the note issue depends on market conditions, the company's funding needs and investor demand, and no binding agreement has been entered into. Tencent had not responded to a Reuters request for comment at publication.
The notes are intended for certain professional investors: the offering excludes the public in Hong Kong, the United States and other jurisdictions, and bars placements with connected persons of the company, the company's announcement says. Tencent attached an extract of its management discussion and analysis, with a consortium of global and Chinese banks acting as joint coordinators.
Two syndicates, one long-dated bet
Four banks — JPMorgan, Goldman Sachs, HSBC and Morgan Stanley — are leading the dollar offering. The yuan tranche carries a heavier local roster: ICBC (Asia), Agricultural Bank of China, Bank of China, Bank of Communications, China Construction Bank and CITIC Securities, joined by HSBC and JPMorgan, the term sheet showed. The banks are expected to hold investor calls later on Monday before any offering.
Four months after a $4.66 billion deal
Tencent last tapped bond markets in June, raising $4.66 billion from a four-part offering of US dollar and offshore-yuan notes. A second large raise inside four months keeps Tencent near the front of the technology sector's debt-funded spending wave — the pace of a company that keeps finding reasons to fund itself rather than reasons to wait.
The AI-debt wave's next chapter
Reuters noted the fundraising lands as technology companies worldwide keep borrowing while funding markets stay open. TickerGrove has tracked that wave all year, from SoftBank's record junk-bond financing to the AI-capex debt boom that followed. The long tenors here — 20-year dollars, 30-year offshore yuan — make this proposal a pricing reference point for long-dated Asia credit, not just another funding round.
What to watch Monday
What to watch: whether the investor calls later Monday produce a launched deal with an attached size; the tenor split if it prices; and whether the 20-year dollar and 30-year yuan legs clear at acceptable terms. Tencent said further announcements will follow as appropriate.
Bond investors have shown this year they will fund the AI buildout as long as the credits cooperate. Tencent's proposal tests whether that patience extends to the long end — in two currencies at once.
