Sysco Corporation (NYSE: SYY) established a $750 million senior unsecured delayed-draw term loan facility with CoBank on September 4, 2026, and intends to use part of the proceeds to pay cash consideration for its previously announced proposed acquisition of JRD Unico, Inc. and Warehouse Realty, LLC, along with related fees and costs.
CoBank delayed-draw facility
Through a First Amendment to its April 16, 2026 Revolving Credit Agreement with Bank of America, N.A. as administrative agent, Sysco added a US$750 million senior unsecured delayed-draw term loan facility with CoBank, ACB and the then revolving lenders. The September 4 Form 8-K frames the facility as a new direct financial obligation alongside the amendment itself.
Two delayed-draw tranches
The CoBank Term Loan splits evenly into a US$375 million six-year tranche and a US$375 million eight-year tranche. Multiple advances are allowed during the one-year window after the amendment becomes effective. The filing does not report any draw.
Loans rank pari passu with other Revolving Credit Agreement borrowings and share the guarantor group that supports Sysco's senior notes and debentures and its April 16, 2026 Term Loan Credit Agreement.

Contingent leadership awards
Item 5.02 also discloses one-time leadership and retention arrangements linked to the JRD path. On September 1, the Compensation and Leadership Development Committee approved PSUs valued at US$2 million for Chair and CEO Kevin P. Hourican and US$1 million for Interim CFO Brandon E. Sewell, intended for leadership continuity through JRD integration. Those awards are contingent on closing and forfeit if the acquisition does not close; the performance period runs from closing through the third anniversary, with payouts from 0% to 200% of target.
On September 3, the committee approved a US$700,000 one-time cash award for EVP and CHRO Ronald L. Phillips, tied to AI-efficiency and AI-driven process transformation leadership. The award is contingent on employment through the JRD closing, with 50% vesting on September 4, 2026 and the remaining 50% upon successful consummation.
