Deal terms are from STERIS's Oct. 12, 2026 GlobeNewswire announcement (Finviz/MarketMinute carriers). The $2.1 billion purchase price, ~$300 million NPV cash tax benefits (~$1.8 billion net), up to $150 million 2028 earnout, ~$245 million 2026 revenue and ~$135 million adjusted EBIT, debt financing and anticipated Dec. 31, 2026 close are subject to regulatory approvals and customary closing conditions; this story does not treat Xodus as acquired. Adjusted EBIT is non-GAAP ($121 million projected operating income plus ~$14 million royalty-termination charges). STERIS Friday close and Monday session quote come from public market data. WSJ independently confirmed the $2.1 billion agreement.
STERIS said Monday it agreed to buy Xodus Medical, a Pittsburgh-area maker of surgical safety products, for $2.1 billion, aiming to close by year-end after regulatory approvals.
What STERIS is buying
STERIS said Monday its U.S. subsidiary signed a definitive agreement to acquire Xodus Medical, a specialty surgical-products company based near Pittsburgh, for $2.1 billion at closing. The company expects cash tax benefits with a net present value of about $300 million, which would bring the net purchase price to roughly $1.8 billion. The price is still subject to customary adjustments, and STERIS may pay up to another $150 million in earnouts if Xodus hits specified performance targets in calendar 2028.
Xodus is expected to generate about $245 million of revenue in calendar 2026 and about $135 million of adjusted EBIT. That adjusted figure starts from projected operating income of $121 million and adds back about $14 million of charges that mostly relate to a royalty arrangement terminated in 2026, according to STERIS's non-GAAP reconciliation. STERIS plans to finance the deal primarily with debt and expects to close by December 31, 2026, subject to regulatory approvals and customary closing conditions. It will update fiscal 2027 outlook to include Xodus after closing.
Why the portfolio fits
STERIS already sells infection-prevention products, sterilization equipment and operating-room capital goods. Xodus adds consumable products used in surgery, including its Pink Pad patient-positioning systems, which the company markets as tools that help keep patients safer in the OR. Founded in 1993, Xodus sells those perioperative safety technologies to hospitals worldwide.
STERIS chief executive Dan Carestio said Xodus's portfolio complements the company's offering with operating-room consumables and that the business has grown at double-digit rates on specialty products, new introductions and a strong commercial team. Xodus chief executive Craig Kaforey cast the deal as a way to reach more customers under a larger medtech parent. STERIS said it expects the acquisition to be accretive to top-line growth, margins and adjusted earnings — company guidance that still depends on closing and integration.
Size relative to STERIS
STERIS closed Friday at $214.40 and was trading near $219.60 midday Monday, up about 2.4%, with a market value of roughly $21.4 billion, according to public market data. The $2.1 billion headline price is about 9.8% of that market value — a TickerGrove calculation — so the deal is large enough to matter for the balance sheet and for how investors read STERIS's M&A appetite. Goldman Sachs advised STERIS; J.P. Morgan advised Xodus.
Why it matters for investors
For STERIS shareholders, Monday's announcement is a sized bet on higher-margin surgical consumables rather than another capital-equipment bolt-on, with a clear close window and an earnout that keeps some of the price tied to 2028 results. The stock's Monday move shows the market noticed the size; whether the deal pays off still turns on regulators, integration and whether Xodus keeps growing after it joins STERIS.
