Shell completes ARC Resources acquisition, expanding Canadian production

The Montney transaction carries an updated enterprise value of about US$16.5 billion and adds roughly 370,000 barrels of oil equivalent a day.

What “Source checked” means

Shell completed its acquisition of ARC Resources on September 2, 2026, the transaction’s Effective Date, after securing all required shareholder, court and regulatory approvals. The close brings a substantial Canadian liquids and gas business into Shell’s portfolio.

What Shell paid

ARC shareholders are entitled to CAD $8.20 in cash and 0.40247 Shell ordinary share for each ARC share. Shell put the updated equity value at approximately US$13.9 billion, comprising about US$3.3 billion in cash and US$10.6 billion in new Shell shares. That valuation uses Shell’s September 2 closing share price of GBP £34.43 and the latest foreign exchange rates cited by the company.

Including approximately US$2.5 billion in net debt and leases taken on, Shell reported enterprise value of about US$16.5 billion. Equity value measures the consideration for shareholders; enterprise value also reflects the assumed net debt and leases. Shell noted that the rounded components do not sum to the reported enterprise value.

Production arrives before the projected financial benefits

Shell said the acquisition immediately adds approximately 370 kboe/d—370,000 barrels of oil equivalent per day—of liquids and gas production. That operating measure is separate from either transaction valuation.

The company expects double-digit returns and free cash flow per share accretion from 2027. It also said the acquisition supports approximately 4% compound annual production growth through 2030, measured against 2025. These are Shell’s expectations, not financial results established by the close. Purchase price allocation for the acquired assets and liabilities remains to be performed.

Closing and share delivery are separate steps

September 2 is the completed arrangement’s Effective Date. Shell anticipated delivery of its shares several days after that date. The Form 6-K was signed on September 2 and filed with the SEC on September 3; the filing date does not change the closing date.

The filing also describes a Canadian exemption for certain Shell share buybacks outside Canada, subject to conditions involving 10% Canadian ownership and 10% buyback caps over 12 months, along with no Canadian listing. It does not provide an explicit ARC TSX delisting date.

What remains open

Purchase-price allocation of acquired assets and liabilities is still to be performed; share delivery was expected several days after the Effective Date; forward return and FCF statements are expectations, not closed results.
