Roper Technologies lifted its full-year 2026 adjusted earnings per share guidance to $22.35-$22.40 after third-quarter adjusted earnings per share of $5.89 rose 15% from a year earlier on revenue of $2.17 billion.

Roper Technologies reported third-quarter revenue of $2.17 billion against $2.02 billion a year earlier, a 7.65% increase, and raised the full-year adjusted earnings target that carried the release's headline. Organic growth was 7% year over year and acquisitions added 1%, with currency contributing nothing, according to the release filed as Exhibit 99.1 to a Form 8-K carrying Item 2.02, Results of Operations and Financial Condition.

A 39.8% adjusted EBITDA margin that trailed last year's

Adjusted EBITDA rose 7% to $864 million, but at 39.8% of revenue it was 40 basis points below the 40.2% recorded a year earlier. The release does not separate how much of that gap came from the 1% acquisition contribution and how much from the organic business, so the mix effect stays unquantified in the filed numbers.

Segment detail shows where the revenue came from. Revenue by segment, in millions: Application Software, the largest of the three, 1,239.7 against 1,161.0 a year earlier; Network Software 446.1 against 413.4; Technology Enabled Products 486.0 against 443.1. Segment operating profit, also in millions, was 707.9 against 651.3, equal to 32.6% of revenue against 32.3%, and that segment margin is struck before $84.7 million of unallocated corporate costs and stock-based compensation.

Buybacks turn 5% profit growth into 15% per-share growth

Adjusted net earnings rose 5.21% from a year earlier to $586 million, while adjusted DEPS rose 14.59% to $5.89. The difference sits in the denominator. Share counts here are in millions: diluted weighted-average shares fell 8.3% to 99.4 from 108.4 a year earlier, after $2.73 billion of share repurchases in the nine months ended September 30, 2026, as the cash flow statement shows. Treasury stock climbed to 10.5 from 2.7 at the start of the year.

GAAP net earnings of $484.7 million compared with $398.5 million, up 22%, and GAAP DEPS of $4.88 rose 33% from $3.68. The GAAP line is inflated by a swing in the fair value of Roper's minority stake in Indicor, which the company excludes from adjusted results and which it says will be excluded from all non-GAAP results in future periods.

Guidance, the fourth quarter and an excluded divestiture

Roper now expects full-year 2026 adjusted DEPS of $22.35-$22.40, against previous guidance of $22.15-$22.30, and fourth-quarter adjusted DEPS of $5.95-$6.00. Full-year GAAP guidance of $25.60-$25.65 sits above the adjusted range because the bridge takes out $9.86 a share of year-to-date Indicor gains and adds back $6.56 a share of amortization of acquired intangibles and $0.05 a share of transaction-related acquisition expenses.

“Driven by third quarter adjusted DEPS that exceeded our expectations, we are raising our full year adjusted DEPS guidance”, chief executive Neil Hunn said in the release.

“With more than $6 billion of capital deployment capacity, we will continue allocating capital with discipline to drive free cash flow per share compounding for our shareholders”, Hunn said.

The only transaction the release names in that exclusion is Indicor's pending sale of its Cornell Pump and Roper Pump businesses; the release says the guidance omits those proceeds, along with unannounced deals and any share repurchases. That pending sale is separate from the Indicor disposal that already closed, which the cash flow statement records as $1.24 billion of proceeds from the Indicor transaction in the nine months ended September 30, 2026, and which matches the $1.2 billion Hunn said Roper received in the quarter from Indicor's sale of its instrumentation businesses. The $1.2 billion already received is therefore not the amount the guidance excludes; what the guidance omits is the contingent cash that sale has yet to produce. For the pending Cornell Pump and Roper Pump sale the release gives no price, buyer, conditions, approvals or closing date.

The release sets no date for fourth-quarter results and no timing for the pending sale; the only dated forward event it lists is the 8:00 a.m. ET call on October 22.
