Rocket Lab raises $1.944 billion in share sale to fund pending Iridium acquisition

The financing package retains Iridium’s term loan and removes a bridge commitment. Regulatory approvals and closing still lie ahead.

What “Source checked” means

Rocket Lab (Nasdaq: RKLB) said Tuesday it completed an at-the-market stock sale raising about $1.944 billion gross, bringing financing for its pending Iridium Communications (Nasdaq: IRDM) acquisition into place alongside available liquidity and retained debt.

Existing debt replaces the bridge commitment

The offering involved 29.3 million shares; the proceeds figure is before commissions and expenses. Separately, Iridium obtained lender consent for the acquisition under its term loan, whose outstanding balance was $1.775 billion as of June 30. Rocket Lab USA will give an unsecured guarantee when the deal closes. Rocket Lab terminated the related $3.6 billion bridge commitment.

Those financing figures describe different components: fresh equity proceeds, an existing loan and a canceled commitment. Adding all three would overstate the financing being used. The equity issuance also expands the share base before the businesses combine.

Rocket Lab still expects closing in mid-2027. Securing the money addresses funding risk; the acquisition remains subject to regulatory approvals and other closing conditions.

A satellite-service business alongside launch and manufacturing

The June announcement valued Iridium at approximately $8 billion including debt. Rocket Lab’s strategic case is to combine launch and spacecraft production with an operating satellite network, licensed spectrum and recurring communications services.

Iridium serves customers in aviation, maritime, government and other markets that need connectivity beyond terrestrial networks. The companies said its network supported more than 2.55 million active subscribers at the time of the merger announcement. That is an announced historical subscriber base, rather than a fresh September count.

The combination would extend Rocket Lab’s role beyond supplying launches and hardware to operating the services those assets deliver. Owning more of that chain could allow it to capture more customer spending, but the benefit depends on integrating the businesses and maintaining network performance while investing in future capabilities. The June release’s growth case remains management’s expectation.

The stock component changes the meaning of the headline price

Iridium’s merger filing sets consideration at $27 in cash plus Rocket Lab shares for each Iridium share. The stock amount is governed by a collar: the exchange ratio is 0.4000 at a defined Rocket Lab price of $67.50 or below, and 0.2400 at $112.50 or above. Between those bounds, the ratio is $27 divided by that price, rounded to four decimal places.

The reference price is a ten-trading-day volume-weighted average ending on the second full trading day before the merger becomes effective. It is not simply Rocket Lab’s price on announcement day or today.

That formula makes the announced $54 per-share value a reference point rather than a guaranteed all-cash payout. Outside the collar, the stock leg moves with Rocket Lab’s value. Financing completion therefore resolves a different question from what Iridium holders will ultimately receive: funding availability and the value of share consideration are separate exposures.
