RingCentral lifted its 2026 revenue, margin and free cash flow outlook on October 22 after third-quarter revenue rose 5.9% from a year earlier to $676 million and non-GAAP operating margin reached 24.7%. The filing is a Form 8-K with Item 2.02 results disclosure and a single exhibit, and the board also declared a $0.125 quarterly dividend.

RingCentral reported third-quarter revenue of $676 million, up 5.9% from $639 million a year earlier and 2.9% above the second quarter, and told investors the same day that 2026 will end with more revenue and free cash flow than it forecast in July. Subscriptions revenue rose 6.0% to $653 million and accounted for 97% of the total, while non-GAAP operating margin widened to 24.7% from 22.8%.

A $6.50 GAAP quarter that reconciles to $0.28

GAAP diluted earnings were $6.50 a share, against $0.19 a year earlier, but most of the difference came from the tax line rather than from operations. RingCentral released part of a valuation allowance against U.S. deferred tax assets during the quarter, and the release states that GAAP diluted EPS excluding that release was $0.28, up 47.4% year-over-year. The non-GAAP figure, which removes share-based compensation, amortization of acquired intangibles and the tax effects of those adjustments, was $1.33 a share versus $1.13. GAAP operating income rose to $54 million from $31 million, and non-GAAP operating income was $167 million.

Subscriptions outgrow the total as the AI attach rate climbs

Subscriptions revenue of $653 million grew 6.0% from a year earlier, slightly ahead of the 5.9% total, so the smaller other-revenue line is a drag rather than a second engine. The more consequential figure sits in the headline bullets: the company says ARR from customers utilizing a native paid AI product is "approaching 15%, doubling year-over-year". Three months earlier the same measure was 13% of ARR. RingCentral gives no dollar value for that AI-linked ARR, and its definition section defines total ARR as monthly recurring subscriptions multiplied by twelve without separating the AI portion.

Cash builds while gross debt lands on target

Free cash flow was $157 million, or 23.2% of revenue, against $130 million a year earlier, and net cash provided by operating activities rose 18.8% to $180 million. Cash and equivalents ended the quarter at $110 million after $18 million of repurchases, with approximately $309 million left under the authorization. Management also closed a balance-sheet goal: gross debt is now about $1 billion, and CFO Vaibhav Agarwal said, "We also reached our $1 billion gross debt target ahead of schedule, further strengthening our balance sheet while returning capital to shareholders." The board declared a $0.125 dividend payable November 20 to holders of record November 6, unchanged from the rate set in July, when the payout rose 67% from $0.075.

Guidance rises but the fourth-quarter range sits on the quarter just reported

For the fourth quarter RingCentral guides total revenue of $673 million to $680 million, a range that brackets the $676 million just delivered, and non-GAAP EPS of $1.32 to $1.37 on about 88.7 million diluted shares, essentially the $1.33 just reported. The GAAP operating margin guide of 13.3% to 14.7%, against 8.0% in the third quarter, implies a far larger step-up in GAAP profit: the reconciliation table, which is stated in millions, shows fourth-quarter GAAP operating income of $90 million to $100 million. For the full year the company raised total revenue to $2.650 billion to $2.657 billion from $2.635 billion to $2.646 billion, non-GAAP EPS to $5.07 to $5.12 from $4.96 to $5.10, non-GAAP operating margin to roughly 24.0% to 24.2% from 23.6% to 24.0%, and free cash flow to $620 million to $630 million from $615 million to $625 million. The prior figures come from the second-quarter release filed in July. With nine-month non-GAAP EPS of $3.75, the new annual range implies fourth-quarter EPS of $1.32 to $1.37, the same numbers as the quarterly guide.

What the release does not settle

There is no consensus figure in the filing, no after-hours share reaction and no bridge explaining why the outlook moved; the raise is asserted rather than derived. The AI metric is directional only, with no denominator or dollar amount. Because the valuation-allowance release is a non-cash tax item, the $6.50 GAAP figure says little about cash generation, and RingCentral does not guide GAAP EPS at all, stating that a reconciliation is not available without unreasonable effort. The next dated item is the November 20 dividend payment; the fourth-quarter report is not scheduled in this release.
