Rigetti Computing (NASDAQ: RGTI) announced September 8 that its wholly owned subsidiary, Rigetti & Co, LLC, signed a definitive Other Transaction Agreement with the U.S. Department of Commerce for an award of up to $100 million to accelerate superconducting quantum computing research and development, according to its Form 8-K, accession 0001104659-26-105662. The award date was September 4; the announcement does not establish that the full award has been paid.

Funding arrives in stages

The agreement makes $43.9 million available on or as soon as practicable after the September 4 award date. Two subsequent tranches, worth $29.9 million and $26.2 million, depend on Commerce determining that milestones have been met. That determination rests in the department's sole discretion. Availability of the initial tranche is distinct from confirmation of receipt, and the $100 million figure is an award ceiling rather than cash already disbursed.

Rigetti's September 8 announcement, issued from Berkeley, California, describes the funding as allocated under the CHIPS Research and Development Office Broad Agency Announcement pursuant to the CHIPS Act. The definitive agreement gives that industrial-policy commitment a specified funding schedule, while retaining federal control over the release of later payments.

Federal funding comes with shares

Under a separate Securities Issuance Agreement dated September 8, Rigetti will issue about 7.74 million common shares to Commerce at an implied issuance price of $12.92 per share. The filing ties the issuance to an obligation to provide $100 million in shares as an inducement for Commerce to enter the research agreement. Issuance was expected on September 8; that expectation is not confirmation that delivery occurred. The company disclosed reliance on the Section 4(a)(2) exemption for the unregistered issuance.

Commerce's stake is described as minority and non-controlling, and the department generally will not vote the shares except on limited corporate, charter and merger matters. For shareholders, the equity commitment is a material part of the funding terms: the award is paired with an issuance of common stock, not simply an unconditional cash payment. The disclosure does not establish a dilution percentage.

Three hardware constraints define the work

The research agreement covers three tasks: compressing readout electronics into an integrated, miniaturized package; expanding cryogenic capacity by orders of magnitude through a new cryostat architecture; and developing fabrication capabilities for high-connectivity chip architectures. These are research objectives, not demonstrated performance gains.

The tasks explain the award's practical focus within U.S. quantum industrial policy. Funding is directed at the electronics, cooling infrastructure and fabrication capabilities needed to scale superconducting quantum systems. Whether that spending produces the intended advances remains a question for subsequent milestone evidence.

A bounded research period, with execution still ahead

The period of performance begins on the September 4 award date and runs until all milestones are completed or the fifth anniversary of that date, whichever comes first, unless terminated earlier. An extension amendment is possible with at least 60 days' notice before expiry.

The next checks are evidence of funding receipt, completion of the expected securities issuance and Commerce's milestone determinations. The signed agreement establishes the terms; it does not establish that the research objectives have been achieved.
