Regal Rexnord Raises Adjusted Outlook, Cuts GAAP Guide and Explores Sale of Robotics Unit

A non-cash goodwill charge tied to the warehouse-robotics business drove the GAAP loss and the lower GAAP guide, even as adjusted profit beat estimates and the board weighed selling that business.

Regal Rexnord beat third-quarter estimates on Tuesday and said its board has begun a portfolio review, starting with a possible sale of its warehouse-robotics unit.

Regal Rexnord Corporation (NYSE: RRX) is a Milwaukee maker of electric motors, powertrain parts and automation systems. It employs about thirty thousand people worldwide. Its products move air, power machinery and control factory automation.

Adjusted results cleared estimates

Adjusted earnings per share were $2.90, up from $2.51 a year earlier. Adjusted earnings per share means profit excluding some one-off items. The Zacks Consensus Estimate was $2.69 a share.

Sales were $1.59 billion, up 6.1% from a year earlier. That also topped the Zacks consensus estimate of $1.56 billion. Zacks put the earnings surprise at 7.81% and the revenue surprise at 1.82%.

Tariff refunds flattered the adjusted figures. Net refunds of tariffs paid under the IEEPA emergency-powers law added $0.18 a share. Excluding refunds, adjusted earnings per share were $2.72, up 8.4%, Chief Financial Officer Rob Rehard said on the earnings call.

A non-cash charge drove the GAAP loss

On a reported basis, the quarter looked very different. Regal Rexnord swung to a GAAP net loss of $12.5 million attributable to the company. A year earlier it earned $79.6 million.

GAAP diluted earnings per share were a loss of $0.19, against earnings of $1.20 a year earlier. GAAP means the standard accounting rules. The swing came from one non-cash charge.

The company recorded a goodwill impairment of $119.3 million. Goodwill impairment is a write-down of value paid for past acquisitions. The charge was non-cash, and it cut diluted earnings by $1.78 a share. It was tied primarily to the autonomous mobile solutions business.

Shares jumped intraday on the report

Investors rewarded the adjusted beat and the strategic review. Shares rose 11.56% intraday to $179.54 as of 3:43 p.m. ET on Tuesday, according to Nasdaq quote data. The prior close was $160.93. That snapshot is intraday, not the official close.

Data centers powered the growth segment

Automation & Motion Control sales rose 24.5% to $500.6 million. Data center sales rose 307% from a year earlier. Excluding E-Pods, they rose 169%.

E-Pods are pre-built electrical power units for data centers. The segment booked $25 million of E-Pod sales in the quarter. Adjusted EBITDA margin in the segment was 19.2%. EBITDA is earnings before interest, taxes and some noncash charges.

Industrial Powertrain Solutions sales fell 1.9% to $649.5 million, on metals and mining weakness. Power Efficiency Solutions sales rose 1.2% to $437.9 million. Commercial heating and cooling strength offset weaker home markets there.

Orders and cash flow stayed strong

Daily orders rose 5.7% from a year earlier, Rehard said. Excluding data centers, orders rose 13.3%. In October, daily orders rose 24% across the company.

Operating cash flow was $219.8 million, and free cash flow was $193.7 million. Net debt ended the quarter at 2.9 times adjusted EBITDA, including expected deal synergies. The quarterly dividend was $0.35 a share.

A new chief executive is reviewing the whole portfolio

Chief Executive Aamir Paul is four months into the role. Paul said the review, run with the board and outside advisors, aims to direct capital toward the most attractive opportunities.

The first candidate is the autonomous mobile solutions business, called AMS. AMS makes hardware and software for automated guided vehicles and warehouse robots. Paul said the company is exploring a sale, not that one is agreed.

AMS is small inside its segment. Rehard said it is a low-single-digit percentage of segment sales. He expected no material earnings impact from any sale. He declined to discuss value or timing.

Guidance split: adjusted up, GAAP down

For 2026, the company raised and narrowed its adjusted earnings guidance to $10.60 to $10.90 a share. The midpoint is $10.75, up from $10.60 before. The prior range was $10.35 to $10.85.

The GAAP outlook moved the other way. The company cut GAAP earnings guidance to $3.76 to $4.06 a share, from $5.42 to $5.92. The release said the new range includes the non-cash impairment.

On the call, Rehard put 2026 sales at about $6.22 billion. He held free cash flow guidance at $600 million. Adjusted guidance includes a $0.58 a share benefit from tariff refunds.

E-Pod revenue should reach $65 million in 2026, Rehard said. For 2027, he expected about $550 million. Shipments begin in the first quarter of 2027 and ramp through the year.

What remains unknown

What remains unknown includes the official closing price for Tuesday. Reporting was frozen before the close, so the share move here is the 3:43 p.m. ET intraday snapshot. It is not a closing figure.

Whether AMS sells, to whom, and at what price also remains unknown. The review could produce further portfolio moves, or none. Terms, timing and any buyer are all undecided.

What to watch next

What to watch next is the official close and the sessions that follow. A close near the intraday snapshot would confirm the reaction. A fade would soften it.

Watch for a definitive AMS announcement from the review. Watch fourth-quarter results against the outlook, including $40 million of expected E-Pod sales. Guidance for 2027 comes with those results.
