Station Casinos adds $500 million of term B loans to repay its revolver
Fungible with Station Casinos' existing term B tranche at Term SOFR plus 2.00%, the new loans are intended to repay revolver borrowings and for general corporate purposes including capex and permitted acquisitions.

Reporting is based on the October 21, 2026 Form 8-K, its press-release exhibit and the Incremental Joinder Agreement filed with it; no quarterly financial statements were part of this filing.
Station Casinos LLC borrowed $500 million of additional term B loans on October 21, 2026, adding the debt to its existing term B tranche at Term SOFR plus 2.00% and intending to use the proceeds to repay its revolving credit facility. The filing that disclosed the borrowing is not an earnings report: Red Rock Resorts, the Las Vegas casino operator that controls Station Casinos, filed a Form 8-K whose press-release exhibit covers only the loan.
A fungible add-on, not a repricing
The Incremental Joinder Agreement adds $500 million in aggregate principal to the term B facility under a credit agreement dated March 14, 2024, which was amended in December 2024. The joinder makes the new money fungible with the loans already outstanding: the same class, the same guarantees, the same collateral package and the same "Term B Facility Maturity Date". Deutsche Bank AG New York Branch is the only lender on Schedule A and carries the full $500,000,000.00 commitment.
Price is the tell. The joinder sets the margin at 2.00% over Term SOFR, or 1.00% over the base rate, and states that this is the Applicable Margin for the term B loans already outstanding "as of the date hereof". Station Casinos is therefore extending its secured debt at the spread the existing tranche already pays, with no change for lenders who were already in the facility. The company incurred the money under the Incremental Incurrence-Based Amount, and the loans cannot be reborrowed once repaid.
Paying the revolver and the amortization arithmetic
Proceeds are intended to repay outstanding revolving loans, to pay related fees and expenses, and for general corporate purposes, which the joinder says may include capital expenditures and permitted acquisitions. If the revolver was drawn by at least $500 million, the borrowing substitutes an amortizing secured term loan for revolving borrowings instead of adding gross debt; whether that lengthens the maturity profile is an inference, since neither the revolver's maturity date nor the term B maturity date appears in these documents. What the disclosure does not give is the revolver balance, so the size of the draw that remains after this repayment is unknown.
The joinder also rewrites the amortization clause. Section 3.01(b) previously measured payments as 0.25% of the term B principal outstanding at closing; it now sums 0.25% of that original amount and 0.256410256% of the new loans, for a combined installment amount of $5,207,051.28 under Section 3.01(b). The filing does not reproduce the schedule that sets how often that installment falls due, so the frequency is governed by the underlying credit agreement rather than stated here. The new money's share of that payment is $1,282,051.28, which leaves $3,925,000 as the pre-existing 0.25% piece. The $3,925,000, divided by 0.25%, implies that about $1,570,000,000 of term B principal was outstanding at the credit agreement's March 2024 closing, an inference from the amendment's own arithmetic rather than a figure the filing states.
What the exhibit does not contain
There are no revenue, earnings or margin figures here, no leverage ratio and no maturity date: the joinder refers to the existing term B maturity without printing it. The filing likewise gives no total debt balance, no rating action and no commentary beyond the release and the contract language. Its own item list covers the material agreement, the new financial obligation, a Regulation FD disclosure and exhibits, with no results item among them. Red Rock's third-quarter results, if the company reports them separately, are not in this document, and the press release should not be read as a substitute for them.
The dated checkpoint is Red Rock's Form 10-Q for the quarter ended September 30, 2026, which will report revolver borrowings as of September 30 — three weeks before this borrowing — plus any subsequent-event note; the post-repayment balance belongs to the fourth-quarter 10-Q or a later 8-K. A later 8-K that discloses the term B maturity date or a further incremental draw would also move the picture.
