Quantinuum finalized a U.S. Department of Commerce CHIPS Act award of up to $100 million for research and development to scale its trapped-ion quantum computing technology, under an agreement its subsidiary entered on September 4. The company disclosed the award on September 8, when it also issued 2,369,528 Class A common shares to Commerce under a separate securities agreement.

Funding arrives in stages

Quantinuum LLC, the awardee and a subsidiary of Quantinuum Inc. (Nasdaq: QNT), entered the Other Transaction Agreement with Commerce on September 4, 2026. The binding award follows a non-binding letter of intent from May. September 8 is the date of the securities agreement, the company's announcement and its Form 8-K filing—not the Award Date.

The agreement provides for up to an aggregate $100 million: $56 million made available on or about the Award Date, followed by $32 million and $12 million after the awardee achieves certain project milestones. Availability does not establish that cash has been received, and the award ceiling should not be read as a fully disbursed amount. Funds may be used solely for eligible project costs consistent with an approved budget plan.

Components for Quantinuum's trapped-ion systems

The project covers R&D at multiple existing U.S. sites to scale Quantinuum's trapped-ion quantum computing architecture. Its specified work includes low-loss integrated photonics at 422 nanometers, prototypes of control ASICs using a high-voltage process for cryogenic operation, and development and packaging of reliable optical components at wavelengths critical to trapped-ion systems.

In its September 8 announcement, Quantinuum described the funding as supporting the R&D and U.S. quantum semiconductor manufacturing capabilities needed to deploy large-scale, fault-tolerant trapped-ion computers. That is the company's stated purpose, rather than evidence that those systems have been delivered.

The company named GlobalFoundries as one of several foundries, with work to fabricate next-generation ion traps and control electronics using 300mm wafer technology. It named Monarch Quantum to develop and manufacture lasers and optical components. Quantinuum also said it was the only company with a trapped-ion architecture awarded CHIPS R&D funding; that statement is the company's characterization.

Commerce receives Class A shares

On September 8, Quantinuum Inc., Quantinuum Holdings, LLC, and the awardee entered a Securities Issuance Agreement with Commerce. Quantinuum issued Commerce 2,369,528 Class A common shares in reliance on Section 4(a)(2) of the Securities Act. The filing states the share count without stating a per-share cash price paid at issuance.

The earlier May letter of intent contemplated equity in the full amount of the award, priced at the lower of the IPO price discounted by 20% and the publicly traded closing share price on the Award Date discounted by 15%. Those preliminary terms do not supply a disclosed dollar price for the September 8 issuance.

Milestones determine the remaining payments

The period of performance ends at the earlier of completion of all project milestones and the fifth anniversary of the September 4 Award Date, unless terminated earlier. An extension requires Commerce's consent, which is not to be unreasonably withheld. The agreement also includes data and intellectual property requirements and grants Commerce certain data and IP rights.

The next funding steps depend on project milestones. The locked source facts do not establish receipt of the initial funds, completion of milestones or dates for the later payments. Quantinuum's press release was furnished, rather than filed, under Item 7.01 of the September 8 Form 8-K.

Cash receipt, milestone dates, and per-share price remain open

The packet discloses an award ceiling, staged availability, and a share count. It does not prove the full $100 million was disbursed or state a per-share price.
