Japan extends Prudential sales bans into 2027 as POJ pretax hit stays near $1 billion

Prudential Financial said Japan's Financial Services Agency extended a business-suspension order that bars Prudential of Japan from soliciting new business through January 31, 2027, and imposed a partial suspension on Gibraltar Life's Life Consultant channel through the same date, while keeping its estimate of roughly $1 billion in pretax adjusted operating income impact at POJ across 2026 and 2027.

The Newark-based insurer furnished the update in a Form 8-K on Oct. 9 (AccNo 0001193125-26-418407) with an Exhibit 99.1 news release and held an 8 a.m. ET conference call with slides and a transcript posted to its investor-relations site. The FSA also issued business-improvement orders to Prudential of Japan, Gibraltar Life, and Prudential Holdings of Japan, which must submit improvement plans by the end of November 2026 and report progress regularly.

POJ's suspension extends a voluntary sales pause that began earlier in 2026 so the company can advance remediation already under way, the release said. Gibraltar's partial order applies only to the Life Consultant channel and not to its independent agency channel. Prudential said POJ and Gibraltar remain financially sound and able to meet their obligations, and that the suspension does not cover Prudential Gibraltar Financial Life or Prudential's other Japan units outside POJ and Gibraltar.

How large the pretax hit is now

On the Japan Update call, management said the cumulative pretax adjusted operating income impact from the POJ sales suspension across 2026 and 2027 remains about $1.0 billion — essentially unchanged from prior guidance, even though the mix and timing shifted with a longer suspension and a slower reopen. The company presentation puts the updated POJ hit at about $500 million in 2026 (versus an April range of $525 million to $575 million) and about $500 million to $550 million in 2027 (versus $400 million to $450 million).

For Gibraltar, Prudential estimates about $275 million of pretax adjusted operating income impact across the two years — roughly $100 million in 2026 and $175 million in 2027 — tied to the Life Consultant suspension. Gibraltar reached out to more than 2 million customers; as of mid-September, 57 were eligible for reimbursement totaling about $2.6 million, according to the same materials.

What the reopen path looks like

Prudential said it expects to begin resuming sales in POJ and Gibraltar on February 1 after the orders expire, but POJ's return is deliberately phased over roughly 12 to 18 months as branch controls are tested. Management now expects POJ sales in 2027 at about 25% of 2025 levels, down from a prior 50% assumption, and Gibraltar sales in 2027 at about 50% of 2025 as consultants ramp after the prospecting freeze. Chairman and CEO Andy Sullivan called Japan one of Prudential's most important markets and said the Special Investigation Committee report disclosed Oct. 8 and the FSA inspection largely validated remediation priorities already in motion — stronger governance, a more customer-centered sales model, a simpler organization, and a clearer culture of accountability.

Prudential shares last traded near $112.92, down about 0.54%, on the New York Stock Exchange, according to quote data on cnbc.com around 1:38 p.m. ET Friday.

What is still unsettled

Prudential did not publish a full public timetable for every POJ branch reopening milestone beyond the 12-to-18-month phased plan, and the Oct. 9 call explicitly did not cover third-quarter 2026 results.
