PECOLatest quote

Phillips Edison & Company nudged the midpoint of its 2026 Nareit FFO guidance up to $2.70 a share and reported third-quarter Core FFO of $0.71 a diluted share, 9.2% above a year earlier, as comparable renewal rent spreads set a company record. The grocery-anchored REIT also lifted 2026 net income guidance well above its prior range, a move that tracks property-sale gains rather than operations.

Third-quarter net income attributable to stockholders was $62.7 million, or $0.49 a diluted share, against $24.7 million, or $0.20 a share, in the same period of 2025. Core FFO of $100.7 million, or $0.71 a share, rose 11.3% from $90.6 million, Nareit FFO of $98.0 million, or $0.69 a share, rose 9.8% from $89.3 million, and same-center net operating income rose 5.3% to $122.4 million from $116.2 million, each comparison as the company struck it, year over year.

Record renewal spreads, softer occupancy

Leasing produced the quarter's best line. PECO signed 238 leases covering about 1.1 million square feet, against 270 leases and 1.7 million square feet a year earlier, at higher prices: comparable renewal spreads of 25.2% were a company record, new leases averaged 26.3%, and the combined spread was 25.5%. Edison said the quarter showed “the strength of PECO’s operating engine”. Leased portfolio occupancy eased to 97.5% from 97.6%, anchor occupancy to 99.0% from 99.2%, and inline occupancy improved to 95.1% from 94.8%.

One comparative needs a footnote. This release puts third-quarter 2025 same-center NOI at $116.2 million; the release published on October 23, 2025 reported $115.5 million for that quarter. The two releases define different same-center pools: 275 properties wholly owned for the entirety of both calendar-year periods in this release, and 279 properties in the year-earlier one. PECO does not reconcile the $700,000 difference between the 2025 comparative it now shows and the figure it published a year earlier.

The net income raise sits below the FFO line

The loudest guidance change is in net income: $1.21 to $1.24 a diluted share for 2026, against a prior $0.95 to $0.97. Nareit FFO guidance moved to $2.68 to $2.72 from $2.67 to $2.72, and Core FFO to $2.75 to $2.79 from $2.73 to $2.79, a cent or two at the low end and nothing at the top.

The gap has a plain cause. FFO excludes gains on property sales, and PECO recorded a net gain on disposal of property of $40.61 million in the third quarter, against $4.26 million a year earlier, and $66.81 million over nine months against $9.8 million. The ranges tell the story better than any single adjustment line: the low end of net income guidance rose to $1.21 from $0.95, while the low end of Nareit FFO guidance rose to $2.68 from $2.67. FFO strips out property-sale gains, so the widening spread between the two measures is the sale-driven part of the raise rather than rent.

The biggest cut on the expense side of that table, which is stated in thousands, is interest expense, net: guidance is $116 million to $120 million for 2026 against a prior $117 million to $127 million, lower at both ends. G&A expense guidance is $51,000 to $53,000 from $49,000 to $53,000, and adjustments for collectibility are $4,500 to $6,000 from $4,000 to $7,000, against $3,773 recorded over the first nine months. Read together, those lines do not describe a uniform tightening. Same-center NOI growth guidance rose to 3.50% to 4.00% from 3.40% to 4.00%.

Buying $181.8 million while selling $87.1 million

PECO bought $181.8 million of assets in the third quarter, against $14.3 million a year earlier, and sold $87.1 million. The purchases included Publix-anchored Alafaya Square outside Orlando, Kroger-anchored Easton Commons outside Houston and South Shore Commons in Staten Island. After quarter end it added $59.4 million at its total prorated share, split between $52.8 million wholly owned, including Rice Lake Square near Chicago, and $6.6 million through a venture. Nine-month wholly-owned acquisitions were $448.7 million against $174.0 million of sales; the guidance table's $459.71 million of year-to-date gross acquisitions adds PECO's prorated share of joint-venture buying. The $519.1 million acquired and $174.8 million sold through October 26 are on that wider, total-prorated-share basis.

Joint-venture capital now carries part of the load. PECO and Northwestern Mutual extended Grocery Retail Partners I by 10 years to 2036 in a step previously announced October 1, 2026; the venture will acquire 13 centers that PECO still owns and operates, valued at about $377.5 million, with Northwestern Mutual at roughly 86% and PECO at 14%. Contributions to that venture of $138.6 million came after quarter end.

Edison describes the strategy as recycling capital: “We continue to match fund our external growth by selling stabilized centers and investing in centers with greater growth potential.”

A cheaper term loan, leverage held at 5.2x

After quarter end PECO closed a $350 million unsecured term loan maturing October 23, 2029 at SOFR plus 0.80%, drew $175 million, and used the proceeds to repay a $161.8 million term loan due January 2027, cutting the rate by about 30 basis points. The other $175 million can be drawn through April 21, 2027.

Liquidity was about $762 million on September 30, made up of $17.9 million of cash and $744.3 million of revolver capacity, and about $950 million pro forma for the new facility. Net debt to trailing twelve-month adjusted EBITDAre was 5.2x, or 5.0x on a current-quarter annualized basis; 85.2% of total debt was fixed-rate, and the weighted-average rate on all debt was 4.5%.

What the fourth-quarter filing has to settle

Two details cut against the quarter's tone. Leasing volume fell by roughly a third, to 1.1 million square feet from 1.7 million, even as spreads set records, and anchor occupancy slipped to 99.0%. The guidance table, stated in thousands, cuts dispositions to $175 million to $210 million from $200 million to $250 million while leaving acquisitions at $600 million to $700 million, a gap the release does not explain; it does show unchanged joint-venture contribution guidance, $138.6 million already contributed to Grocery Retail Partners I after quarter end, and $91.7 million of net ATM proceeds in the first nine months.

The release, which carries the results as Exhibit 99.1 to the Form 8-K filed October 26, 2026, says little about tenant credit quality beyond the $3.77 million of nine-month adjustments for collectibility and the $4.5 million to $6 million guided for the year, says nothing about how much of the acquisition pipeline is under contract, and will not reconcile forward same-center NOI, saying it cannot estimate the reconciling items without unreasonable effort. The next checkpoint is the October 27, 2026 conference call and webcast; the release also points to the Form 10-Q for the quarter ended September 30, 2026, then the fourth-quarter and full-year 2026 filing.
