Philips Beats Profit Estimates as Respironics Reaches a Justice Department Agreement in Principle
The operating beat carried a heavy legal cost: a provision of 288 million euros for the proposed settlement cut reported net income to 28 million euros.
Philips reported adjusted EBITA of 569 million euros on Tuesday, up 7.2 percent from a year earlier and above the 522 million euros analysts expected.
Royal Philips is a Dutch health technology company. It sells diagnostic imaging and monitoring equipment to hospitals. It also sells personal health products, from electric toothbrushes to grooming devices.
It reported results for the third quarter, ended September 30, on Tuesday, November 3. Adjusted EBITA is profit before interest, taxes and amortization, with one-off items removed. Philips uses it as its core profit measure.
A clear beat on the company's own consensus frame
Analysts expected adjusted EBITA of 522 million euros. That is the company-compiled consensus Philips publishes on its website. The reported 569 million euros beat it by about 9 percent, an article calculation.
Higher sales, a higher gross margin and productivity measures drove the beat. Cost inflation partly offset those gains. Adjusted EBITA margin rose to 13.0 percent of sales.
Group sales were 4.39 billion euros, up 2 percent as reported. Comparable sales rose 3 percent. Comparable growth strips out currency moves and portfolio changes, so it tracks underlying demand.
Comparable order intake rose 8 percent. Diagnosis and Treatment, the imaging and therapy segment, drove the order growth. Orders are signed demand that has not yet become sales.
Personal Health led sales; imaging was flat
Diagnosis and Treatment sales were 2.09 billion euros, with comparable growth flat. Growth in image-guided therapy offset a decline in precision diagnosis. Ultrasound timing and lower sales in China weighed on the unit.
Connected Care sales were 1.18 billion euros, with comparable sales up 5 percent. Growth came from all its businesses, the company said. The segment sells hospital monitoring and sleep and respiratory care.
Personal Health sales were 953 million euros, with comparable sales up 8 percent. It was the fastest-growing segment. Adjusted profit margins rose in all three segments in the quarter.
Adjusted EBITA margin reached 12.3 percent in Diagnosis and Treatment. It reached 13.3 percent in Connected Care and 17.7 percent in Personal Health. Connected Care posted the largest gain, up 190 basis points, or 1.9 percentage points.
An agreement in principle, not a final settlement
Philips Respironics reached an agreement in principle with the United States Department of Justice. It would resolve previously disclosed criminal and civil investigations. The investigations are linked to the Respironics sleep and respiratory device recall.
An agreement in principle sets out the main terms before final documents are signed. It is not a final settlement. Philips said the settlement remains subject to finalization of the documentation.
Philips recorded a provision of 288 million euros in the quarter for the proposed settlement. A provision is money set aside for an expected payment. Payment is expected in the first quarter of 2027.
“The Respironics agreement in principle with the US Department of Justice marks an important step in this process,” chief executive Roy Jakobs said. On a call with journalists, he said the agreement was reached “in the last few days.”
Whether the agreement includes an admission of wrongdoing was not disclosed. Also in the quarter, an Amsterdam appeals chamber denied investor requests for an investigation. The requests sought a probe into Philips over the recall.
The provision cut reported profit sharply
Income from operations fell to 165 million euros, from 330 million euros a year earlier. The provision was the main reason for the fall. Other Respironics charges added 34 million euros in the quarter.
Net income fell to 28 million euros, from 187 million euros a year earlier. Diluted earnings per share fell to 0.03 euros, from 0.19 euros. Adjusted earnings per share rose to 0.40 euros, from 0.36 euros.
Connected Care absorbed the legal cost on the segment books. Its operating result was a loss of 195 million euros. Its adjusted EBITA still rose to 157 million euros in the quarter.
Cash flow strengthened in the quarter
Operating cash flow rose to 544 million euros, from 327 million euros a year earlier. Free cash flow rose to 384 million euros, from 172 million euros. Higher cash earnings and lower working capital outflows drove the increase.
Productivity measures saved 170 million euros in the quarter. Savings reached 427 million euros so far this year. Philips says it remains on track for savings of 1.5 billion euros under its 2026 to 2028 program.
The full-year outlook was reiterated
Philips repeated its full-year 2026 outlook on Tuesday. It expects comparable sales growth of 3 percent to 4.5 percent. It expects an adjusted EBITA margin of 13.5 percent to 14.0 percent.
The margin outlook includes a benefit of about 1 percent from a United States tariff refund. Free cash flow is guided to 1.5 billion to 1.7 billion euros. That guide includes a net tariff refund benefit of about 200 million euros.
The outlook assumes the Justice Department settlement is paid in the first quarter of 2027. It excludes other Respironics proceedings. Those include an investigation by state attorneys general in the United States.
What remains unknown
What remains unknown starts with the final settlement documents. Their terms, and any conditions beyond the payment, are not yet public. Whether the final amount matches the provision of 288 million euros is also unstated.
The state attorneys general investigation and other Respironics proceedings continue. Their cost is not in the outlook. Charges under the 2024 consent decree also continue, at 31 million euros in this quarter alone.
What to watch next
What to watch next starts with the final settlement documents. Signing would turn the agreement in principle into a binding settlement. The payment would then fall due in the first quarter of next year.
Then watch fourth-quarter delivery against the repeated outlook. Comparable sales inside the full-year range of 3 percent to 4.5 percent would confirm it. Order intake will show whether imaging demand held its pace.
