OpenAI sets November 12 to end Cursor’s model contract after SpaceX close
OpenAI is winding down Cursor’s model contract, with a proposed shutoff date of November 12, 2026. Access continues until then. Future models, including Astra, will not go to Cursor. SpaceX’s 8-K prices the August 14 close at $60.0 billion.

Two weeks after SpaceX closed on Cursor, OpenAI put a date on the models inside it. Future models, including Astra, will not go to Cursor. The models already in the product stay on through the notice period.
On August 28, 2026, OpenAI said: “Today, we notified SpaceX that we intend to wind down our contract providing OpenAI models to Cursor, with a proposed shutoff date of November 12, 2026.” OpenAI called that the maximum notice in the contract. Existing access continues until then. Future models, including one OpenAI named Astra, will not go to Cursor. OpenAI’s page does not accuse Cursor of a violation.
The notice arrived after the deal was already closed.
SpaceX closed on Cursor on August 14
SpaceX’s Form 8-K, Date of Report August 14, 2026, accession 0001628280-26-056945, Item 2.01, says the merger became effective that day. The registrant is Space Exploration Technologies Corp. The cover lists Class A common stock, par value $0.001, trading symbol SPCX, on The Nasdaq Stock Market LLC and Nasdaq Texas, LLC.
The filing names Anysphere, Inc. (“Cursor”). On August 14, 2026, at the Effective Time, Merger Sub merged with and into Cursor, with Cursor surviving as a wholly owned subsidiary of SpaceX. Cursor’s outstanding common stock and preferred stock converted into the right to receive an aggregate of 389,289,254 shares of SpaceX Class A common stock, based on an implied equity value of Cursor of $60.0 billion and a volume-weighted average closing price over the seven consecutive trading days immediately preceding the close.
Vested Cursor restricted stock units outstanding immediately prior to the Effective Time converted into the right to receive, before withholding for applicable taxes, an aggregate of 1,752,426 shares of SpaceX Class A common stock. Unvested Cursor restricted stock units and Cursor stock options were assumed and converted into approximately 29,128,326 SpaceX restricted stock units and approximately 44,365,047 options to purchase SpaceX Class A common stock. The filing defines Merger Consideration as those share amounts together with cash received in lieu of fractional shares. That is not an all-stock description.
Cursor’s blog post “Cursor is now a part of SpaceX,” published August 14, 2026, says Cursor has officially been acquired by SpaceX and that this completes the acquisition process that started in April.
OpenAI’s page, and the filing that does not echo it
OpenAI’s page is the source for the wind-down notice, the maximum-notice wording, and the statement that future models including Astra will not go to Cursor. The page does not accuse Cursor of a violation.
OpenAI’s page cited a New York Times report dated April 27, 2023, and a Forbes report dated April 30, 2026. Those are OpenAI’s citations. OpenAI’s line that Twitter/xAI is “now part of SpaceX” is OpenAI’s wording. The opened 8-K is silent on that sentence.
The models Cursor still lists
Cursor’s Models & Pricing documentation, opened August 29, 2026, lists two usage pools. Cursor Models are Grok 4.6, Grok 4.5, and Composer 2.5. Other Models include GPT-5.6 Luna, GPT-5.6 Sol, and GPT-5.6 Terra, and also list Claude Fable 5, Claude Opus 5, Claude Sonnet 5, Gemini 3.1 Pro, and Gemini 3.7 Flash. That is a named list as of August 29, 2026, not a breakdown of how much each model is used.
If the notice holds
The OpenAI path stays up through the notice period. The November deadline is dated. Cursor’s own model pool is already a separate named list. Astra is already withheld from that future window. The November deadline is still ahead; current GPT-class models have not been cut off. The Other Models list is a catalog, not a token-share split.
OpenAI is withholding future models, including Astra, from Cursor. That is a contract wind-down after the SpaceX close. SpaceX’s 8-K does not restate OpenAI’s reasons. No usage share, customer-count split, or substitute-model forecast sits in these documents.
From here through the notice period
The same documents will tell the rest of the story. Whether OpenAI revises the November deadline, or the continuing-access sentence. Whether Cursor’s Models & Pricing page still lists GPT-5.6 Luna, Sol, and Terra in Other Models. Whether SpaceX files an amendment to accession 0001628280-26-056945. The calendar date is not proof that the cutoff has already occurred.
A date on a contract is not the same as already being cut off
The SpaceX filing is the August 14 close of Cursor, at an implied equity value of sixty billion dollars. That close is not a statement that OpenAI models are already gone. The 8-K prices the merger; it does not restate OpenAI’s reasons.
The 8-K is the close. The OpenAI page is the notice.
The November deadline is still ahead. The 8-K’s 389,289,254 Class A shares, 1,752,426 vested RSUs, approximately 29,128,326 unvested RSUs, and approximately 44,365,047 options sit with cash in lieu of fractional shares — not an all-stock deal. GPT-5.6 Luna, Sol, and Terra sit in Other Models; Grok 4.6, Grok 4.5, and Composer 2.5 sit in Cursor Models.
Outside these documents
OpenAI has not accused Cursor of a violation. The 8-K does not restate OpenAI’s reasons and does not mention Twitter or xAI. The New York Times date April 27, 2023, and the Forbes date April 30, 2026, are OpenAI’s citations. Conference-call Q&A, a share-price reaction, and a recommendation are not in the opened sources.
