OPay Pulls Its Priced NYSE IPO Over an Unnamed Foreign Regulatory Inquiry

A priced deal, a rung opening bell and then no first trade leave investors with no shares, the company with no proceeds, and no named regulator to assess.

What “Source checked” means

OPay Limited terminated its underwriting agreement before its shares ever traded, ending a priced New York offering over a regulatory inquiry it has not named.

The company announced the decision in a statement after its American depositary shares, certificates representing ordinary shares, failed to open for trading on Friday, October 30. The termination was mutual, between OPay and its underwriters. It covers the underwriting agreement dated October 29, 2026. The offering will not be completed. No proceeds were raised, because pricing an offering is not the same as closing one.

A deal priced, then stopped before trading

Earlier on Friday, OPay had priced sixteen million ADSs at nineteen dollars each. That price sat at the bottom of the nineteen-to-twenty-one-dollar range set in its amended filing. At that price, the offering size was three hundred four million dollars before fees. The pricing implied a valuation of about four billion dollars. None of that money reached the company, because the deal never closed.

OPay executives rang the opening bell at the New York Stock Exchange that morning. The ADSs still never began trading under the ticker OPAY. Secondary reporting of the exchange feed described a halt at 3:30 p.m. Eastern time, with news pending. No executed trades appeared on the feed. The deal had been due to close on November 2, 2026.

The company's position also shifted during the day. An earlier statement described a temporary hold while it sought a formal regulatory no-objection. The later statement went further and terminated the offering outright. The termination is the operative fact. The earlier hold language no longer describes the deal's status.

What the company said, and what it did not say

OPay said the inquiry relates to a jurisdiction that is immaterial to its core business operations. It did not name the jurisdiction. It did not name the regulator. It did not describe the subject of the inquiry. Any account that names a regulator or a reason is going beyond what the company has disclosed.

The company said it is confident the inquiry will be concluded satisfactorily in the near future. It said the decision should not be misconstrued as a reflection on its business performance. It used the same protection for its financial condition, operational integrity and regulatory standing. It said it is engaging the relevant stakeholders to facilitate an early resolution.

OPay also said the development has no impact on its operations or service delivery. That assurance covers Nigeria, Indonesia, Egypt and Pakistan. The company said it continues to operate normally in each market. It said it will provide further updates as material developments occur.

The terms that never reached a closing

Each ADS represents ten ordinary shares. OPay had granted the underwriters a thirty-day option for up to two point four million additional ADSs. That option is now moot, because there is no completed offering to enlarge. The registration statement had been declared effective on October 29, 2026. Effectiveness allowed the sale process to proceed, but it did not complete it.

Citigroup Global Markets, Deutsche Bank's Hong Kong branch and Standard Bank of South Africa were the joint book-running managers. Needham and Company served as a co-manager, with one further co-manager named in the pricing release. CICC was also listed among the underwriters in reporting and on the prospectus cover. The exchange had certified approval of the listing on October 27, according to reporting on the withdrawal.

A concurrent private placement was tied to the same closing. Stanbic Africa Holdings had agreed to buy ordinary shares alongside the offering. The amended filing estimated that placement at about one hundred eighty-three point six million dollars at the twenty-dollar midpoint. The filing made the placement concurrent with, and subject to, completion of the offering. OPay's termination statement did not address the placement, so its fate follows the filing's condition, not a new announcement.

The business behind the listing

OPay was founded in 2018 by Yahui Zhou. It offers payments, transfers, savings and credit across its four markets. The prospectus reported about fifty million monthly active users as of July 31, 2026. SoftBank entities held six point six percent of the company before the offering. OPay had raised four hundred million dollars in 2021 at a two-billion-dollar valuation.

The financial record in the filing was profitable, on the company's reported figures. For the first half of 2026, revenue was four hundred sixty-seven point one million dollars. Net income was ninety point nine million dollars for the same period. Nigeria accounted for most of that revenue. Those are reported filing figures, not a forecast, and the withdrawal does not change them.

What remains unknown

What remains unknown starts with the inquiry itself. The jurisdiction, the regulator and the subject are all unnamed. Whether OPay returns with a revised offering is also unknown. The company gave no timetable for a new filing or a new pricing. The Stanbic placement's final status has not been separately announced. Readers should treat each of those points as open, not as settled by inference.

The signals that would change the story

What to watch is whether OPay names the jurisdiction or the regulator. A new registration filing would signal a return to market. A statement from Stanbic or Standard Bank would settle the placement question. An exchange or regulator notice could clarify the halt. Until one of those arrives, the verified story is a priced offering that was terminated before a single share traded.
