What “Source checked” means

InspireMD, Inc. entered amendments with certain Series J and Series K warrant holders on September 21, 2026. For covered warrants, the exercise price moves to $0.7674 per share and the termination date becomes the earlier of May 15, 2028 or 20 trading days after FDA approval of CGuard Prime 80 cm is announced.

InspireMD reshaped terms on a large block of existing warrants, tying a reset exercise price and an earlier termination trigger to an expected CGuard Prime FDA milestone.

The amendments

On September 21, 2026, InspireMD, Inc. (Nasdaq: NSPR) entered warrant amendments with certain holders of Series J warrants (up to 9,543,952 shares) and Series K warrants (up to 9,543,947 shares). Some participating holders also sit on the company’s board.

For participating holders, the company amended Series J warrants as to 50% of the underlying shares and all Series K warrants to set the exercise price at $0.7674 per share—the Nasdaq official closing price on September 18, 2026—and to end at 5:00 p.m. Eastern on the earlier of May 15, 2028 or 20 trading days after announcement of FDA approval for CGuard Prime 80 cm. The other 50% of participating holders’ Series J warrants kept the original $1.3827 exercise price and prior termination triggers, including SwitchGuard-related FDA language.

Scale and what did not change

Ex99.1 says the amendments cover approximately 4.8 million Series J shares and 9.5 million Series K shares for participating holders. Non-participating holders’ warrants are unchanged. The company said the amendments do not include issuance of additional securities in the announcement excerpt reviewed for this package.

Regulatory outcome still open

The package does not treat FDA approval as obtained—only as a termination trigger if announced. Economic incentives for holders to exercise, and any cash proceeds to InspireMD, are not quantified in the disclosure.
