NBLatest quote

NioCorp Developments Ltd. reported preliminary net income attributable to the company of $3.7 million, or $0.03 per share (basic), for the three months ended September 30, 2026, a $46.4 million swing from the $42.7 million loss it reported a year earlier. The profit came from non-cash gains on liability-classified earnout shares and warrants rather than from operations, and the development-stage company held $405.1 million of cash at September 30, 2026.

A non-cash reversal, not an operating turnaround

The profit NioCorp reported for the three months ended September 30, 2026 traces to its own share price, not to mining. The release attributes the quarter to "non-cash gains of approximately $8.5 million related to earnout shares and warrants classified as liabilities on the consolidated balance sheet," which it ties to a decline in the closing price of the company's common shares between June 30, 2026 and September 30, 2026. A year earlier the same instruments went the other way, producing "non-cash losses of approximately $32.1 million related to the same liability-classified instruments" as the share price rose. Those two marks alone explain $40.6 million of the $46.4 million gap between this quarter's net income and the prior-year net loss.

Net income attributable to NioCorp was $3.7 million, or $0.03 per share (basic), against a net loss attributable to NioCorp of $42.7 million, or $0.53 per share (basic), in the September 2025 quarter. The release carries no revenue line, consistent with a company that "continues as a development stage company". Operating cash outflows were $6.1 million, "primarily representing recurring general and administrative costs" together with work on the technical and economic study for the Elk Creek Critical Minerals Project. The current report that furnished the release says NioCorp "announced a Company update relating to certain preliminary financial results for the three-month period ended September 30, 2026", and its filing index lists Items 2.02, 7.01 and 9.01 with the release attached as an exhibit.

Elk Creek spending keeps cash in focus

Cash stood at $405.1 million on the consolidated balance sheet at September 30, 2026. Investing outflows of $5.9 million went mainly to "additional expenditures associated with ongoing construction of the mine portal at the Elk Creek Project", while operating outflows of $6.1 million covered administrative work and study costs. The release describes NioCorp as developing Elk Creek to produce niobium, scandium, titanium and several rare earth products, and it repeats the standing caution that the company has a "requirement of significant additional capital". Its common shares trade on the Nasdaq under NB and its warrants under NIOBW, according to the current report.

Form 10-Q due by mid-November

None of the quarter's figures is final, and the release says so directly: the amounts "are preliminary and are unaudited and subject to change and adjustment" as NioCorp prepares its unaudited interim condensed consolidated financial statements. It adds that the company "does not intend to provide preliminary results on a regular basis in the future". That makes this a one-off disclosure rather than a new reporting habit. The next dated document is the Form 10-Q, due "on or before November 16, 2026."

The release is silent on a revenue figure, an updated Elk Creek capital budget, a project financing timetable and management commentary beyond the numbers themselves. Because the earnout and warrant marks move with NioCorp's share price, a share-price rebound between September 30 and the next reporting date would push that same non-cash line back toward a loss, the mechanism that produced the loss a year earlier.
