Third-quarter revenue rose 34% from a year earlier to $59.6 million and net income climbed 50% to $17.3 million. Written premium reached a record $132.7 million, and the company set initial 2027 revenue guidance of $238 million.

NPLatest quote

Neptune Insurance Holdings Inc. reported third-quarter revenue of $59.6 million, up 34% from a year earlier, and net income of $17.3 million, up 50%, then raised its 2026 revenue target to $204 million. The flood insurer also disclosed a chief financial officer handover.

Commission income carries a 34% revenue gain

Commission income was $45.91 million against $33.92 million a year earlier, a 35.4% increase, and fee income rose 30.7% to $13.65 million, according to the presentation's income statement, which reports dollars in thousands.

The premium behind those commissions expanded too. Written premium rose 31% to a record $132.7 million in the quarter; premium in force reached $450 million at September 30, up 32% year over year, and policies in force grew 29% to more than 336,000.

The company credits renewal-portfolio growth, a higher commission rate on written premium, record new business, wider use of its Atlas+ agent tools, agents shifting business on NFIP uncertainty, and Palomar-agreement business that concluded in the quarter. Two offsets cut the other way: a slow real estate market and a below-average 2026 Atlantic hurricane season.

Share-based compensation takes a bigger bite of revenue

Operating expenses rose 33.5% from a year earlier to $31.6 million, slightly slower than revenue, but the mix shifted. Share-based compensation was $7.01 million against $111,000 a year earlier. Agent commissions, the largest cost line, rose 25.6% from a year earlier to $17.38 million, and general and administrative expense jumped 81.8% to $3.89 million, which the company ties to public-company costs and technology.

Operating income still rose 35.1% to $27.97 million, and the net margin widened to 29.0% from 25.9%. Adjusted EBITDA grew 38% from a year earlier to $36.8 million at a 61.7% margin, and adjusted net income rose 52% to $24.3 million. Diluted earnings were $0.12 a share against $0.06; adjusted diluted earnings were $0.17 against $0.11.

Revenue rose 6.6% sequentially from $55.87 million in the second quarter, and net income 9.2% from $15.8 million.

Guidance: $204 million for 2026, $238 million for 2027

The company's full-year 2026 revenue expectation now stands at $204 million with an adjusted EBITDA margin above 61%, and its initial 2027 guidance is $238 million at a 61% margin. Both are revenue-and-margin targets; the release gives no per-share or written-premium guidance. The margin targets are non-GAAP, and the presentation says it has not reconciled them to net income margin because reconciling items such as share-based compensation, transaction costs and income taxes could be significant.

Nine-month revenue was $153.23 million, so the 2026 target leaves about $50.77 million for the fourth quarter, below the $59.6 million recorded in the third quarter, though the target is rounded to the nearest million. A sequential step down would match last year, when fourth-quarter revenue of $43.77 million came in slightly under the third quarter's $44.37 million. The company put its trailing-twelve-month Rule of 40 score at 94.

Twenty-five million of debt repaid as nine-month operating cash flow reaches $69.3 million

Neptune had $215.0 million drawn on its $260.0 million revolving credit facility at September 30, down from $240.0 million at June 30 after $25.0 million of principal paydowns in the quarter; total net leverage was 1.7x. Operating cash flow for the nine months was $69.3 million against $38.9 million a year earlier. Stockholders' equity remains negative at $211.6 million. No shares were repurchased in the quarter, and the company expects to "balance debt reduction with opportunistic share repurchases."

A CFO handover arrives with the results

A second item in the same filing says Jim Steiner notified the company on October 19 of his intent to resign as chief financial officer, effective after the 2026 annual report is filed, and that the decision was not the result of any disagreement with the company. He is expected to stay on as chief operating officer of Neptune Flood Incorporated and as a director.

The board named Cristian Melej, a director since April 2025 and chief financial officer of Hingham Institution for Savings since 2016, to succeed him on the same date. Melej left his board committees immediately and his compensation terms are not yet set. The filing states: "There are no new or amended compensatory arrangements with Mr. Steiner in connection with his transition."

A loss ratio frozen at June 30 and a 10-Q still to come

Two limits matter. The underwriting statistic the company leans on, a lifetime written loss ratio of 19.5%, is dated June 30, 2026 in the presentation, so it does not capture third-quarter storm activity. And the quarterly report on Form 10-Q had not been filed when the release went out.

No analyst consensus appears in the documents, so nothing here is a verdict on whether the quarter beat or missed expectations. What they establish is mid-30s revenue growth, margins above 60%, and a 2026 target implying a smaller fourth quarter than the third quarter just reported.
