Mattel brings Roger Lynch's start date to October 12 and fixes 1,692,306 award units

Mattel grants 461,538 make-whole restricted units, 923,076 performance units and 307,692 annual restricted units on day one, and lifts his change-of-control cash multiplier to 2.99 times through 2028.

Roger Lynch began work as Mattel's chief executive on October 12, 2026, three weeks before the November 2, 2026 outside date the company set when it announced the appointment, and the amendment he signed that day fixes his equity grants at 1,692,306 units, raises his change-of-control cash severance multiplier to 2.99 times from two times through 2028, and adds a tax reimbursement payment for the Section 4999 excise tax. Mattel attributed the change to “recent external developments” without saying what they were.

The October 14 report is a compensation filing, not a quarterly report. It carries Item 5.02 and Item 9.01 only, its sole exhibit is the signed amendment, and it contains no revenue, margin, earnings or guidance figures. The unit totals, the dollar total and the percentage change below are calculated from the counts, values and multiples those documents state; every other figure is quoted from the amendment, the report describing it, or the September 30 report that first priced the hire.

A start date pulled onto the day the amendment was signed

Lynch became chairman on October 2, 2026, the date Ynon Kreiz's resignation as chief executive and chairman took effect, and Jonathan Anschell, Mattel's chief legal officer, served as interim principal executive officer until the October 12 start. Lynch's offer letter, dated September 29, 2026, timed his equity to the last trading day of the month in which his start date fell. The amendment replaces that mechanism with his first day of work, October 12, 2026, and states the grant sizes as fixed unit counts rather than dollar targets: 461,538 restricted stock units to replace awards forfeited at his previous employer, 461,538 performance units under the inducement award, and a 2026 annual award of 461,538 performance units at target plus 307,692 restricted stock units. The amendment sets one reference point: for the inducement award's relative total shareholder return test, the initial Mattel share price is the per-share closing price of Mattel common stock on September 30, 2026, the day the appointment was announced, so the return on that award is measured from the September 30, 2026 closing price. The amendment says nothing about what the earlier version of the letter used.

A 2.99-times severance multiplier and a tax reimbursement clause

For a change-of-control covered termination on or prior to December 31, 2028, the amendment rewrites the multiplier in Mattel's Amended and Restated Executive Severance Plan B from “two (2) times” to “two and ninety-nine hundredths (2.99) times” for Lynch alone, a 49.5% increase over the plan's prior two-times multiplier, computed from the two figures the documents state. It also substitutes a tax reimbursement payment for the plan's contingent reduction of parachute payments, covering the Section 4999 excise tax. That gross-up has a floor: if the aggregate parachute value does not exceed 105% of the safe harbor amount, no reimbursement is paid and the payments are instead reduced to the safe harbor amount.

Salary, bonus and the equity the September 30 filing priced

Base salary is $2,300,000 a year, with a target bonus of 200% of salary that begins with the 2027 performance year. The 2026 annual award carries a total target grant value of $10,000,000, split 60% performance units and 40% restricted units. The inducement award has a grant date value of $6,000,000 and pays out only if Mattel's relative total shareholder return over the three-year period beginning on his start date reaches at least the 55th percentile of the S&P 500. The make-whole restricted stock units carry a grant date value of $6,000,000 and are fully vested on grant, but Lynch must repay their value in full if he leaves without good reason or is dismissed for cause before the first anniversary of his start date, and half of it if that happens before the second. Total disclosed value across the three awards is $22,000,000, a sum that puts the annual award's target value alongside two grant-date values; neither filing states a single basis for the aggregate.

The cash bonus is repayable in full if Lynch resigns without good reason or is dismissed for cause before December 31, 2027, and the $985,000 relocation and temporary housing payment carries a two-year tail, fully repayable before the first anniversary of his start date and half repayable before the second.

One sentence of explanation, and the dates the board fixed

Mattel's only account of the change is a single sentence: “The amendment was made following recent external developments.” The report does not identify them, and no press release or investor deck came with it. Nothing in either filing says whether the board weighed holding to the November 2, 2026 outside date, or what granting the awards three weeks earlier was worth, because the amendment fixes unit counts rather than prices.

Two calendar dates and two anniversaries govern the package. December 31, 2027 is the last day of the full repayment window on the $10,600,000 cash bonus; the $985,000 relocation payment and the make-whole restricted stock units instead run from anniversaries of the start date, fully repayable until October 12, 2027 and half repayable until October 12, 2028. December 31, 2028 closes the 2.99-times multiplier and the excise-tax reimbursement. The proxy statement covering 2026 compensation is where the accounting grant-date fair values of the three awards will appear, and those fair values differ from the grant-date and target values the two 8-Ks state.
