Based on Liquidity Services, Inc. Form 8-K AccNo 0001193125-26-410662 filed October 1, 2026 (Items 1.01/2.01/7.01/9.01) and Exhibit 99.1 Completes release for the Auction Holdings / Invaluable close.
Liquidity Services completed its acquisition of Auction Holdings — operator of Invaluable and AuctionZip — on October 1, 2026 for a base purchase price of $80 million in cash, according to a Form 8-K and company release that expand the firm's footprint in collectibles and fine-art online auctions.
Liquidity Services said it completed its purchase of Auction Holdings — the parent of Invaluable, AuctionZip, and RFC Auction Systems — on October 1, 2026, folding a collectibles and fine-art auction marketplace stack into its circular-economy e-commerce platform.
What closed October 1
Liquidity Services, Inc. (NASDAQ: LQDT) reported in a Form 8-K that on October 1 it entered an Agreement and Plan of Merger and completed the transaction, with Auction Holdings surviving as a wholly owned subsidiary. Auction Holdings operates Invaluable, AuctionZip, and RFC Auction Systems, online marketplace and technology platforms for auction houses and buyers in collectibles, fine art, antiques, jewelry, decorative arts, and estate categories.
The base purchase price was $80 million in cash on a debt-free, cash-free basis, funded with cash on hand and subject to customary adjustments for cash, indebtedness, working capital, and transaction expenses, including post-closing true-ups. Of the cash otherwise payable to former stockholders at closing, $9.4 million went into escrow to back indemnification and possible downward purchase-price adjustments, with scheduled releases after the 12-month and three-year anniversaries subject to reserves for unresolved claims.
What Invaluable brings
A company release furnished as Exhibit 99.1 said Invaluable and AuctionZip serve thousands of auction houses and about four million registered bidders, and processed more than $500 million of gross merchandise sales for the fiscal year ended December 31, 2025. Leadership under CEO Brett Malone is expected to stay and keep running the Invaluable and AuctionZip brands. Liquidity Services Chairman and CEO Bill Angrick cast the deal as a way to deepen technology, services, and buyer-engagement tools for auction-house customers. Canaccord Genuity advised Invaluable. The company said it expects the acquisition to be accretive to GAAP and Non-GAAP Adjusted Diluted EPS in fiscal 2027, without providing a GAAP reconciliation for that expectation.
What the October 1 8-K leaves open
The October 1 disclosures do not give a final cash figure after post-closing adjustments, Invaluable EBITDA or margins, headcount, stock-price reaction, or quantified synergies. They also do not convert the fiscal 2027 accretion comment into a GAAP diluted-EPS bridge.
Liquidity Services' Form 8-K AccNo 0001193125-26-410662 (Items 1.01, 2.01, 7.01, and 9.01) and Exhibit 99.1 are the company disclosures for the October 1 close.
