Kimberly-Clark's current report filed October 15, 2026, including its Item 2.02 preliminary estimate tables and the Exhibit 99.1 press release filed with it; the Exhibit 99.1 filed August 4, 2026 with the prior 2026 outlook; the Exhibit 99.1 filed October 13, 2026 on the Kenvue note exchange offers; the EDGAR filing index; and the extracted XBRL instance document for the October 15 submission.
Accurate as of October 15, 2026, based on Kimberly-Clark's preliminary third-quarter estimates in the body of its current report of that date, the Exhibit 99.1 press release filed with it, and the August 4, 2026 Exhibit 99.1 that set the prior version of the 2026 outlook.
Kimberly-Clark estimated preliminary third-quarter 2026 net sales of $4.13 billion and a net sales growth rate of (0.4) percent, with organic sales growth of (1.3) percent, in the current report it filed on October 15. The estimates sit in the body of that report under Item 2.02, not in the Exhibit 99.1 press release attached to it, which restates the full-year outlook the company had already given on August 4. Adjusted earnings per share from continuing operations were $1.70, up from $1.45, while the adjusted measure attributable to Kimberly-Clark fell to $1.70 from $1.82. Final third-quarter and nine-month results are due November 5.
The preliminary quarter arrived in the 8-K body, not the press release
Amounts below are in millions except per-share figures and percentages, and the company prints a negative rate in parentheses, as its tables do. Estimated net sales were $4.13 billion against $4.15 billion a year earlier, a net sales growth rate of (0.4) percent. Organic sales growth, which excludes currency translation and divestitures and business exits, was (1.3) percent against 2.5 percent. Operating profit was $516 million against $621 million, and adjusted operating profit was $677 million against $683 million. Diluted earnings per share from continuing operations were $1.19 against $1.01, and the adjusted continuing-operations measure was $1.70 against $1.45. Diluted earnings per share attributable to Kimberly-Clark were $5.37 against $1.34, and $1.70 against $1.82 on an adjusted basis.
None of those lines appears in the press release attached to the filing. Exhibit 99.1 restates the outlook; the estimates are in the body of the current report under Item 2.02, where the company describes preliminary data "for which consolidated financial statements are not available". The submission's extracted XBRL instance document carries only cover-page facts, with no financial facts tagged, so the quarterly table is not backed by a machine-readable data set.
Kenvue costs account for the reported operating-profit decline
Reported operating profit fell to $516 million from $621 million, and the company's reconciliation shows why the adjusted line barely moved. Starting from $516 million, the bridge adds back $106 million of Kenvue Acquisition costs and the costs tied to the 2024 Transformation Initiative, and carries a commodity-hedge adjustment, to reach adjusted operating profit of $677 million. A year earlier the same table started from $621 million and reached $683 million, so the adjusted measure that the full-year guidance tracks declined by a little under 1 percent.
The two per-share measures diverge. Adjusted earnings per share from continuing operations rose to $1.70 from $1.45, while the adjusted measure attributable to Kimberly-Clark fell to $1.70 from $1.82. The reported attributable figure of $5.37 includes a $4.33 gain on the IFP transaction, which the reconciliation removes, alongside $0.27 of Kenvue costs, $0.16 of IFP separation costs, $0.12 of equity-company adjustments and $0.13 of transformation costs, all presented net of tax.
Guidance held, one input revised
Item 7.01 of the current report reads: "On October 15, 2026, we issued a press release to reaffirm our previously announced outlook for 2026." All four goals from August 4 stand: organic sales growth about 100 basis points below weighted average category growth, adjusted operating profit up mid-single digits at constant currency, adjusted earnings per share from continuing operations up high single digits, and adjusted earnings per share attributable to Kimberly-Clark down low single digits. What moved is the yardstick, which the release said is now "approximately 1.7 percent on a trailing 12-month basis", against 2% in August. Hold the 100 basis point gap constant and the October version implies full-year organic growth of about 0.7 percent, some 30 basis points below the 1 percent implied in August; that is the desk's arithmetic on the company's stated figures, because neither release publishes the resulting rate. The company blames China, saying the gap "primarily reflects realized and potential unfavorable impacts amounting to approximately 100 basis points at a total company level from previously disclosed China social media disruptions". The release adds that "This outlook reflects assumptions subject to change given the macro environment."
The dates that will test the outlook
Organic sales growth ran at 1.2 percent in the first half of 2026, as the August release reported, then came in at (1.3) percent in the preliminary quarter. That swing is what the reaffirmed full-year framing has to absorb, and the filing offers nothing beyond the three months. Final third-quarter and nine-month results arrive on November 5, with the release expected at about 6:30 a.m. EST and a management Q&A at 8:00 a.m. EST. Financing for the pending Kenvue acquisition runs on a separate clock: the note exchange offers expire October 27 unless extended, and the company said on October 13 that it does not anticipate the settlement date to occur before November 2. The 2026 outlook excludes the acquisition and its financing.
