IonQ agrees to buy cybersecurity firm Elisity in all-stock deal worth up to $1.3 billion
The quantum computing company will pay in shares, with up to $150 million tied to Elisity's performance, and expects to close in the fourth quarter.

Based on IonQ's Oct. 12 announcement of the Elisity agreement, IonQ's July 31 release on completing the SkyWater purchase, interview-based reporting by The Wall Street Journal and Quartz, and public market data for IonQ's Oct. 9 close.
Deal terms are from IonQ's Oct. 12, 2026 announcement. The acquisition is a signed agreement expected to close in the fourth quarter of 2026, subject to regulatory approval; this story does not treat it as completed. The $1.3 billion figure is a maximum that includes up to $150 million of earnout. IonQ's Oct. 9 closing price and market value come from public market data; the 8% comparison is a TickerGrove calculation.
IonQ agreed Monday to buy Elisity, a privately held network-security company, in an all-stock deal valued at up to $1.3 billion, less than three months after it completed its purchase of chipmaker SkyWater Technology.
What IonQ agreed to buy
IonQ said Monday it has signed a definitive agreement to acquire Elisity, a privately held Zero Trust security company, in an all-stock transaction valued at up to $1.3 billion. Up to $150 million of that headline value is an earnout that depends on how Elisity's business performs.
Elisity, founded in 2019, sells software that decides which users, devices, workloads and AI agents are allowed to communicate inside a corporate network. The approach, often called microsegmentation, is meant to stop an intruder or ransomware from spreading from one system to the next once it gets in. IonQ said Elisity has more than 100 global customer deployments and has doubled both revenue and its customer base year over year, but neither company disclosed Elisity's revenue in dollars.
How the stock payment works
The number of IonQ shares issued will be set at closing from IonQ's volume-weighted average price over the 20 trading days before the third business day ahead of the closing date. That reference price is bounded: it cannot be higher than $49.61 or lower than $33.07 per share. IonQ closed Friday at $39.89, inside that band.
For scale, $1.3 billion is a bit more than 8% of IonQ's market value of about $15.9 billion at Friday's close, a TickerGrove calculation from public market data. Because the reference price is capped and floored, the final share count will track IonQ's stock only while the average stays inside the band.
IonQ expects the deal to close in the fourth quarter of 2026, subject to customary closing conditions and regulatory approval. Until then this is an agreement, not a completed purchase.
Why a quantum company wants a network-security business
IonQ already sells post-quantum cryptography and quantum key distribution, and it says it has deployed quantum-safe national communications networks in Switzerland, Poland, Romania and Slovakia. The company's pitch is that customers face two problems at once: attacks that move at machine speed today, and the longer-term risk that a powerful enough quantum computer could break encryption that is widely used now.
Chairman and Chief Executive Niccolo de Masi told The Wall Street Journal the purchase is a bet that cybersecurity becomes even more critical as quantum computing and AI systems grow more capable. In IonQ's announcement he went further, saying "Q-Day is coming much faster than predicted." Q-Day is the industry shorthand for the point at which a quantum computer could crack today's public-key encryption; no quantum computer is publicly known to have that capability yet.
IonQ said it plans to extend Elisity's IdentityGraph product with cryptographic inventory and risk information, and it tied the timing to recent White House executive orders on quantum technology and the federal migration to post-quantum cryptography.
Building on the SkyWater purchase
The Elisity agreement follows IonQ's completed acquisition of SkyWater Technology, a U.S. semiconductor foundry, on July 31. De Masi drew the comparison himself, saying SkyWater expanded IonQ's chip design, fabrication and packaging capabilities while Elisity would bring enterprise policy-enforcement scale and deployment experience.
IonQ also pointed to cross-selling as the commercial logic. It said multiproduct revenue grew 40% year over year in the second quarter of 2026. Elisity chief executive James Winebrenner is expected to keep running the business after the deal closes.
Why it matters for investors
For IonQ shareholders, the cost of this deal arrives as new shares rather than cash, so dilution is the number to watch once the closing price window is set. The bigger question is strategic: IonQ is using its stock to buy a recurring-revenue security business today while its core quantum business is still scaling, which shifts part of the investment case toward how well it can sell security products alongside its hardware.
IonQ plans to buy security startup Elisity with stock worth up to $1.3 billion
IonQ, a quantum computing company, agreed Monday to buy Elisity, a startup that helps companies stop hackers from moving around inside their networks. IonQ will pay with its own shares, in a deal worth up to $1.3 billion, including up to $150 million that depends on Elisity's future results. The deal still needs regulatory approval and is expected to close by the end of 2026.
IonQ / Elisity: all-stock, up to $1.3B incl. $150M earnout; price band $33.07-$49.61; Q4 2026 close targeted
IonQ Oct. 12, 2026: definitive agreement to acquire Elisity, Inc. (private Zero Trust / microsegmentation security; founded 2019; 100+ global customer deployments; revenue and customers doubling year over year per IonQ; dollar revenue undisclosed). Consideration: all stock, up to $1.3 billion including up to $150 million earnout tied to Elisity performance. Share count set at closing on the 20-trading-day volume-weighted average price ending before the third business day pre-close, bounded $33.07 to $49.61. IonQ closed at $39.89 on Oct. 9 (market value ~$15.85 billion; deal ~8% of that, TickerGrove calculation). Expected close Q4 2026, subject to customary conditions and regulatory approval. Elisity CEO James Winebrenner stays. Context: SkyWater Technology acquisition completed July 31, 2026; IonQ cites 40% year-over-year multiproduct revenue growth in Q2 2026.
What is still unknown
IonQ has not disclosed Elisity's revenue, profitability or purchase multiple, which regulatory approvals are required, or whether the earnout would be paid in shares or cash. The final number of IonQ shares will not be known until the reference-price window closes shortly before the deal completes.
