What “Source checked” means

IonQ priced a $2.0 billion equity offering on Wednesday, selling stock and pre-funded warrants at $40.00 — about 15% above Tuesday's close — and attaching long-dated warrants struck at $69.46, with an investment vehicle managed by Heights Capital buying the package through J.P. Morgan.

What IonQ sold

IonQ said Wednesday it has priced a $2.0 billion equity offering. The package includes 20.5 million shares of common stock at $40.00 a share and pre-funded warrants to buy another 29.5 million shares at $40.00 each. Buyers also receive seven-year warrants covering 100 million more shares, exercisable at $69.46 a share.

Together, the shares and pre-funded warrants raise about $2.0 billion at the stated prices. The $40.00 price is about a 15% premium to IonQ's Oct. 13 close of $34.73 on the New York Stock Exchange, and the $69.46 warrant strike is a 100% premium to that close, according to the company and its prospectus supplement.

Who is buying

An entity managed by Heights Capital Management is buying the securities from the underwriter. J.P. Morgan is the sole underwriter. IonQ said Paul, Weiss, Rifkind, Wharton & Garrison advised the company, Simpson Thacher & Bartlett advised J.P. Morgan, and Skadden, Arps, Slate, Meagher & Flom advised the investor.

Settlement is expected on or about Oct. 16, which is two business days after the prospectus date. The common stock trades on the NYSE under the ticker IONQ. IonQ said it does not intend to list the warrants on an exchange.

What IonQ keeps after fees

The prospectus lists an aggregate public offering price of about $2.00 billion and underwriting discounts of $10.0 million. IonQ estimates net proceeds of about $1.99 billion after discounts and estimated offering expenses, not counting any cash it might later receive if the warrants are exercised.

It plans to use the money for working capital and general corporate purposes and said it may also put some of the proceeds toward strategic acquisitions or partnerships.

Dilution and the company's framing

Because the offering price sits well above IonQ's net tangible book value, the prospectus warns that buyers will see immediate dilution of $34.52 a share against the company's as-adjusted book value as of June 30, after giving effect to the deal.

Chairman and Chief Executive Niccolo de Masi cast the raise as more than size alone. "The significance of this raise goes beyond its size — giving IonQ additional strategic flexibility as the best-capitalized pure-play quantum company," he said in the company's release, pointing to IonQ's move into Stage C of DARPA's Quantum Benchmarking Initiative and its NVIDIA partnership. He also tied the capital to what the company calls Q-Day and to building out computing, networking, sensing and security.

How the warrants attach

The prospectus describes the Series C warrants as seven-year instruments. Each share and each pre-funded warrant is sold together with Series C warrants, and the company is offering 100 million of those warrants in total — two for each of the 50 million shares and pre-funded warrants in the deal. Pre-funded warrants carry a token remaining exercise price of $0.0001 a share. IonQ filed the deal under an effective shelf registration, Registration No. 333-285279, with a base prospectus dated Feb. 26, 2025.

Why the raise matters

A $2.0 billion primary equity package is a large cash raise for a listed quantum company and locks in funding at a premium to the prior close, with a long-dated warrant overlay that can bring in more capital later if IonQ's shares rise enough to make the $69.46 strike attractive. The structure also concentrates the new paper with a single Heights Capital–managed buyer rather than a broad marketed syndicate.

Until settlement, the deal is priced but not closed. IonQ has not said in these materials how much cash it already holds, how quickly it expects to spend the new proceeds, or what acquisitions or partnerships, if any, it has in mind for a portion of the money.

IonQ raises about $2 billion by selling stock and warrants at a premium

IonQ, a company that builds quantum computers and related technology, said Wednesday it has priced a $2.0 billion stock sale. Investors are paying $40.00 a share — higher than Tuesday's $34.73 close — and also get long-term warrants to buy more shares later at $69.46. An investment firm managed by Heights Capital is buying the package through J.P. Morgan. IonQ expects to collect about $1.99 billion after fees and plans to use the money for day-to-day needs and possibly deals. The sale is set to settle around Oct. 16.

What is still unknown

IonQ has not said in the pricing release or prospectus how much cash it already has on hand, how fast it will spend the new proceeds, or whether Heights Capital or affiliates will keep a long-term stake after settlement. The warrants' value depends on whether IonQ's share price later clears the $69.46 strike. Settlement is expected around Oct. 16 but is not complete as of this article's as-of date.
