INVE Technologies offers a per-share price of $2.85 to $3.40 in a $20 million Dutch tender
If fully subscribed, the self-tender retires 24.7% to 29.4% of shares outstanding and is funded from cash on hand. Preliminary third-quarter revenue was $2.9 million to $3.1 million.

INVE Technologies, Inc. plans to spend up to $20 million buying back its own stock at a per-share price of $2.85 to $3.40, versus $2.22 at the October 20 Nasdaq close, a premium of 28.38% to 53.15%. The Santa Ana, California, company paired the offer with preliminary third-quarter figures: revenue of $2.9 million to $3.1 million, net income of $400,000 to $800,000, and $87.1 million of cash at September 30.
An auction that lets holders name the price
The offer opened on October 21 and runs until 5:00 p.m. New York City time on November 19, 2026. Holders tender at prices inside the range in $0.05 increments, and the company settles on the lowest single price that lets it buy $20 million in value of stock, or takes every validly tendered share if less than that arrives. Fully subscribed, the purchase would retire 24.7% to 29.4% of shares outstanding as of October 19, the company said. It is part of an up to $40 million repurchase program the board had already authorized, and cash on hand pays for it: there is no financing condition and no minimum number of shares, though other conditions in the offer to purchase apply. The company also reserved the right to change the price range or the size of the offer, and to accept an additional 2% of outstanding shares without extending the deadline. Directors and executive officers have told the company they do not intend to tender, and neither the board nor the dealer manager, Craig-Hallum Capital Group, nor the information agent, D.F. King, recommends that holders participate.
Because a single price applies to every share bought, the auction pays one price to everyone. A holder who asks for the top of the range can therefore end up with nothing sold.
Chairman James Ousley presented the auction as part of the capital return that followed the Trackonomy transaction: "we are delivering on our commitment to return capital to our stockholders," he said, describing the structure as one that preserves flexibility for "future capital returns and strategic acquisitions".
A profit swing, and a guide written before the divestiture
For the quarter ended September 30, INVE put revenue at $2.9 million to $3.1 million, gross margin at 18% to 19%, net income at $400,000 to $800,000 and net income per share at $0.01 to $0.02, all preliminary and unaudited. That is a swing from the second quarter, when revenue was $5.7 million and the GAAP net loss was $4.7 million. Measured against the year-earlier quarter, revenue of $5.0 million is above the $2.9 million to $3.1 million preliminary range, while the year-earlier GAAP gross margin of 10.7% is below the preliminary 18% to 19%.
The two margins are not on a stated common basis. The October release's table labels the new measure only as Gross Margin and never says whether the 18% to 19% is a GAAP figure or an adjusted one; it warns instead that its estimates "should not be viewed as a substitute for full interim financial statements prepared in accordance with U.S. generally accepted accounting principles". The year-earlier quarter also still contained the IoT business the company has since sold to Trackonomy Systems, Inc., a sale that closed on September 15, 2026, so both the revenue and the margin gaps mix a divestiture with trading.
On the adjusted basis, third-quarter 2025 non-GAAP gross margin was 19.1%, and that release published the reconciliation behind it. No third-quarter 2026 reconciliation accompanies the new range, so whether 18% to 19% is comparable with the 10.7% GAAP figure, with the 19.1% adjusted figure, or with neither cannot be settled from the October document.
Its August 12 release guided third-quarter net revenue of $4.1 million to $4.8 million, a forecast it described as "without taking into account the closing of the asset sale transaction". Every point in the new range, including the $3.1 million top, sits below the $4.1 million floor of that guide, but the two ranges are not like-for-like, and the August release attributed its soft third-quarter outlook partly to demand rather than to the pending sale alone: one large consumer-facing customer had "built up significant inventory positions over the last three quarters and is pausing new order activity in the coming months", and the company was also seeing "chip allocation delays for certain products, which is delaying production and shipment of some orders".
The comparison also crosses a name change. The second-quarter release was filed under the company's former name, Identiv, Inc., as was the November 10, 2025 release. The October release also does not explain how a quarter with revenue of $2.9 million to $3.1 million produced net income of $400,000 to $800,000, and it gives no gain or loss on the Trackonomy disposal.
Cash on hand, an unaudited quarter and two November dates
A cash balance of $87.1 million at September 30, 2026 covers the $20 million maximum, and no financing condition attaches to the offer. The figures behind it are unaudited: the release states that the independent registered public accounting firm has not audited, reviewed or performed any procedures on the preliminary estimates, and that complete third-quarter results are expected on or about November 12, 2026, a week before the offer expires on November 19.
The terms the filings still have to settle
No clearing price and no final share count exist yet; the offer to purchase, the letter of transmittal and the Schedule TO carry the conditions that govern them. The release lists the risk that the offer will not be completed "on the terms described in this press release", or at all, and until the final third-quarter numbers land the margin basis is the figure a holder cannot check.
