High Roller Technologies' Form 8-K filed October 23, 2026 with the launch release dated October 21, 2026, and the company's second-quarter 2026 results release dated August 11, 2026, both via SEC EDGAR.
Reporting is based on High Roller's Form 8-K filed October 23, 2026 with its October 21 launch release, and on the second-quarter 2026 results release of August 11, 2026.
High Roller Technologies opened ROLR, its real-money prediction markets platform, to eligible U.S. customers on October 21, 2026, ending an invitation-only beta that started September 15 and establishing a second revenue line the company says will begin contributing in the fourth quarter of 2026. The launch lands on a much smaller casino business: second-quarter net revenue was $2.8 million, down 52% from $5.8 million a year earlier.
High Roller filed the launch as an other-events disclosure rather than a results release, so the document describes a product and a commercial plan, not a quarter's earnings. The financial detail that frames the launch comes from the company's second-quarter report three months earlier, and the gap between the two is the story: a contracting casino operation is being asked to carry a new platform through its first revenue quarter.
The base business ROLR has to grow from
Second-quarter 2026 net revenue of $2.8 million compared with $5.8 million in the same quarter of 2025, a decline of $3.0 million that High Roller attributed to its exit from certain online casino markets, a more focused marketing strategy and heavier organizational emphasis on prediction markets. Total operating expenses fell 23% to $5.3 million from $6.9 million, but the loss from operations widened to $2.5 million from $1.1 million, and net loss from continuing operations reached $2.4 million, or $0.22 a common share, against $1.2 million, or $0.14, a year earlier. Adjusted EBITDA was negative $1.8 million. At June 30, 2026 the company held $18.0 million of cash and cash equivalents and $29.6 million of stockholders' equity.
All reported revenue still comes from the casino side, sold under the High Roller and Fruta brands and a portfolio the company describes as more than 6,000 games from over 90 providers. ROLR is a different economic animal: High Roller distributes event contracts rather than booking the other side of a wager. Because the company has not disclosed the fee it keeps per contract, the size of the fourth-quarter contribution cannot be calculated from anything filed so far.
Contracts routed through a broker that holds no customer money
The contracts themselves come from Crypto.com | Derivatives North America, known as CDNA. The regulated entity is ROLR US LLC, a wholly owned subsidiary that belongs to the National Futures Association and holds a guaranteed introducing broker registration, with OG Markets US, Inc., doing business as Crypto.com FCM, standing behind it under a guarantee agreement. Accounts introduced through ROLR are carried at Crypto.com FCM, and the subsidiary does not hold customer funds, which keeps deposit-taking off High Roller's balance sheet.
The technology is licensed rather than owned. An exclusive license and development agreement with mrkts.com supplies source code, the connections into Crypto.com services and CDNA, and payments and compliance functions. High Roller owns the consumer application, which management presents as retaining control of product and roadmap while three counterparties — CDNA, Crypto.com FCM and mrkts.com — sit underneath the revenue line. The release calls the license exclusive but gives neither its term nor its cost.
Distribution partners bring audiences, not contracted revenue
Four partners are named. Lines.com, as described when the April 2026 partnership was announced, carried more than 100,000 indexed content pages and over 4 million social media followers, with content generating more than 500 million views in the 30 days before that announcement. Forever Network is credited with more than 20 billion impressions in 2025 and a reach of 450 million people. Leverage Game Media has reported more than 1 billion annual views and over 5 million followers. SpikeUp Media, handling performance marketing, cites more than 15 years of acquisition work, over 1 million unique depositing customers and more than $600 million in customer deposits driven to its partners.
Those are audience and track-record claims made by the partners themselves, not forecasts for ROLR. The release discloses no acquisition cost, no revenue share and no minimum volume any partner has committed to, so the marketing plan cannot be measured against a budget.
Beta results, the missing numbers and the next dated test
The beta that ran from September 15 exercised registration, identity verification, geolocation, funding, market discovery, order entry, trading, position management, settlement, withdrawals and customer service. High Roller published no user counts, trading volumes or error rates from that test. "The commercial launch is the starting point for building lasting customer relationships and growing the ROLR platform," Chief Executive Seth Young said in the release, adding that "Our priorities are to continually improve the product and execute a disciplined customer-acquisition strategy as we begin generating prediction markets revenue."
ROLR is live in desktop and mobile browsers, with iOS and Android apps planned subject to app store approvals. The release offers no revenue, take-rate, marketing-spend or user guidance and does not say when the prediction markets business is expected to break even. The next filing that can test the thesis is the third-quarter 2026 report, which will cover a quarter that ended before the platform opened; the fourth-quarter report is the first that would carry prediction markets revenue. High Roller has not dated either report.
