Verified against Halliburton's current report on Form 8-K filed October 15, 2026, the Exhibit 99.1 press release it furnished, and the SEC EDGAR filing index for that submission.
Halliburton appointed David C. Hernandez, president of Hunt Consolidated, to its board of directors on October 15, 2026, filling a vacancy rather than expanding the board. The filing states that the size of the board remains at 12 directors, and the company said Hernandez will serve until the 2027 annual meeting of shareholders and be subject to annual election after that.
A vacancy filled without adding a seat
Halliburton's board appointed David C. Hernandez as a director on October 15, 2026 to fill a vacancy. The appointment does not expand the board beyond its stated 12 seats; the filing says the size of the board remains at 12 directors. Hernandez will serve until the 2027 annual meeting of shareholders and will be subject to annual election by shareholders after that, the release said. The filing discloses no departure, resignation or retirement of an existing director.
Chief executive Jeff Miller said in the release, "I am pleased to welcome David to Halliburton," pointing to Hernandez's experience across exploration and production, LNG, refining and power and to leadership roles in international markets.
Hernandez is president and a director of Hunt Consolidated, according to the filing, and has spent more than 18 years with the Hunt family of companies. He was president of Hunt Consolidated since 2025 and during 2019-2022, and chairman and managing director during 2023-2024, the filing states. Before Hunt, he was vice president of tax at Electronic Data Systems, and he holds a law degree from the University of Chicago and a finance degree from the University of Virginia's McIntire School of Commerce.
Audit seat carries a financial-expert designation
The board placed Hernandez on the Audit Committee and the Health, Safety and Environment Committee and designated him an audit committee financial expert, a term defined in SEC rules. Halliburton also determined that he is independent under New York Stock Exchange listing standards and the company's governance guidelines, and it said there are no arrangements or understandings with any other person under which he was selected. The filing reports no transaction in which he has an interest that would require disclosure under the SEC's related-party rules.
A second change arrived with the committee appointments: Timothy A. Leach moved off the Audit Committee and onto the Compensation Committee. The filing does not say why the swap accompanied the new appointment, whether the audit committee's size or chairmanship changed, or when the vacancy that Hernandez fills arose.
Pay follows the non-management director template
Hernandez will be paid under the arrangements for non-management directors described in Halliburton's proxy statement for the 2026 annual meeting, filed March 31, 2026. His initial equity award is restricted stock units equal to the prorated value of the $200,000 annual equity award granted to non-management directors. The proration factor is the number of whole months of service from the start of the month in which his board service began to the following first of December, divided by twelve, and the unit count is that prorated amount divided by the average of Halliburton's closing prices on the New York Stock Exchange over the full calendar month before he joined the board. Based on that formula, the award is 961 restricted stock units.
The release and filing leave the arithmetic partly open: Halliburton does not disclose the average closing price used, so the dollar value of the 961 restricted stock units is not stated. The company also entered into an indemnification agreement with Hernandez on October 15, 2026, using a form of agreement it incorporated by reference from the quarterly report for the quarter ended June 30, 2023. The press release was furnished under Regulation FD rather than filed, which the filing notes places it outside certain liability provisions.
The 2027 ballot is the next fixed date
The next scheduled event that tests the board's composition is Halliburton's 2027 annual meeting of shareholders, where Hernandez will stand for election; the company has not announced a date. Miller framed the appointment as part of a sequence of board additions, saying, "David's appointment reflects our ongoing focus on thoughtful board succession and refreshment." He pointed to the earlier additions of Tim Leach and Janet Weiss, whose dates the release does not give.
Halliburton's next proxy statement is the document where director compensation, including equity awards to non-management directors, is reported, and any further board changes would appear in a subsequent current report.
