Adjusted EBITDA fell to $9 million from $13 million a year earlier, and a $14 million restructuring charge tied to the Monterrey, Mexico closure pushed the reported net loss to $47 million.

GrafTech International Ltd.'s third-quarter 2026 earnings release, filed as Exhibit 99.1 to a Form 8-K on October 23, 2026; the SEC EDGAR filing index for that Form 8-K; and the company's second-quarter 2026 earnings release.
Quarter ended September 30, 2026; reported and adjusted figures as labeled by the company, compared with the second quarter of 2026 and the third quarter of 2025.
GrafTech International Ltd. reported a third-quarter 2026 net loss of $47 million, or $1.76 a share, as net sales slipped 3% from a year earlier to $140 million and a $14 million restructuring charge tied to the planned Monterrey, Mexico closure landed on the reported result. Adjusted EBITDA, which excludes that charge, was $9 million against $13 million a year earlier.
Realized pricing was flat at about $3,900 per metric ton
Net sales fell 3% to $140 million from $144 million a year earlier, and volume did not move: GrafTech sold 28,800 metric tons in the quarter, the same as the third quarter of 2025. The company put its weighted-average realized price at about $3,900 per metric ton, a 7% decrease from a year earlier and flat against the second quarter of 2026, when the prior release put the price at the same level. GrafTech furnished the release as Exhibit 99.1 to a Form 8-K that reported Item 2.02 results of operations.
Sequentially the top line grew, because the second quarter was weaker. Net sales rose 10.1% from $127 million in the second quarter, and production of 27,000 metric tons left capacity utilization at 64%, against 63% a year earlier. Sales volume for the first nine months was 87,700 metric tons, up 7% from a year earlier, which the company called consistent with its full-year growth expectations.
Costs moved the other way. Cash cost of goods sold per metric ton fell 3.7% to $3,653 from $3,795 a year earlier, so cheaper conversion absorbed part of the price decline.
The Monterrey closure carries a $14 million charge
The reported net loss widened to $47 million from $28 million. The quarter included $14 million of restructuring and other exit charges, most of them non-cash, tied to the planned shutdown of the Monterrey, Mexico electrode plant. On an adjusted basis the loss was $1.21 a share against $1.03 a year earlier, a comparison the company presents because those items sit outside its recurring result.
Management framed the closure as a supply decision as much as a cost decision. Chief Executive Timothy Flanagan said in the release: "The closure will better align our production capacity with market demand, lower costs and improve operating efficiency." GrafTech expects $20 to $25 million of annual cash cost savings excluding one-time costs, with the full benefit arriving in 2028, and said customer requirements now served in Monterrey will move to Calais, France and Pamplona, Spain, leaving annual production capacity of about 127,000 metric tons.
Liquidity thinned to $242 million as inventory rose
Operating activities used $8 million of cash in the quarter, against $25 million provided a year earlier, and adjusted free cash flow was negative $16 million versus $18 million. GrafTech attributed the outflow to an inventory build that it described as "consistent with our expectations" and repeated that it expects working capital, including inventory, to fall in the fourth quarter.
Total liquidity was $242 million at September 30, made up of $134 million of cash and $108 million of available revolver capacity, down from $253 million at June 30. Gross debt of $1.23 billion has substantially no maturities until December 2029, and net debt was about $1.09 billion. Capital spending is still guided to about $35 million for 2026.
The fourth-quarter pricing call is what January tests
The forward case rests on price rather than volume. Flanagan said in the release: "Pricing momentum across our key commercial regions reinforces our confidence that our realized pricing has reached an inflection point, positioning us for meaningfully higher realized pricing in 2027." The company said: "For the fourth quarter, we anticipate a mid-single-digit percentage increase in our weighted-average realized pricing compared to the third quarter."
Volume guidance was unchanged at a 5 to 10 percent year-over-year increase, and GrafTech still expects a low-single-digit percentage decline in cash cost of goods sold per metric ton for 2026. The next dated test is its fourth-quarter release and 2027 outlook, due early next year; the third-quarter call was scheduled for 10:00 a.m. Eastern on October 23. Nothing in the release compares the quarter with analyst estimates, so it supports no beat-or-miss conclusion.
