GE Aerospace said September 8 that it signed an agreement to acquire Consolidated Precision Products from Warburg Pincus and Berkshire Partners for $11.75 billion in cash, subject to closing adjustments. The transaction is expected to close in the second half of 2027 and remains subject to regulatory approvals and other customary closing conditions.

A larger role in the castings supply chain

GE Aerospace framed the acquisition as an investment in mission-critical castings capacity. The company says airfoil demand is growing more than 30% across commercial engines, aftermarket and defense. CPP produces highly engineered castings, and GE Aerospace has been a customer for more than 15 years. The presentation identifies LEAP, GEnx, T700, F110 and F404 among the GE programs CPP supports.

Cleveland-based CPP was founded in 1991 and has approximately 6,600 employees across more than 20 facilities globally. GE's presentation estimates CPP's 2027 revenue at approximately $2.0 billion and describes its business mix as approximately 60% commercial aerospace, 20% defense and 20% power and other. The revenue figure is a company estimate, rather than reported results.

Cash and new debt fund the agreement

GE Aerospace plans to finance the purchase with $7 billion in existing cash and the remainder in new debt. The company said the transaction does not change its capital allocation plans.

The company values CPP at approximately 18 times 2027 EBITDA including expected net synergies, compared with approximately 26 times without them. Its presentation identifies approximately $200 million in net synergies. These are company-stated valuation and synergy assumptions.

GE Aerospace expects the transaction to be accretive to adjusted earnings per share and free cash flow in the first year, excluding one-time costs and deal-related amortization. Those expectations use the company's non-GAAP measures and do not represent realized results.
