The $1.5 billion enterprise value, all-cash structure, funding mix, closing window, ZO LTM sales of about $330 million through June 2026, account and country counts, Core EPS and Core EBITDA margin commentary, brand complementarity with Alastin, and adviser names are from Galderma's Oct. 14, 2026 announcement. WSJ's same-day report corroborates the $1.5 billion including-debt framing, the Blackstone and Obagi seller group, Cetaphil/Alastin ownership and the closing window, and notes the share move at publication. Blackstone's 2020 majority investment is from its contemporaneous press release. Cosmetics Business Oct. 14 coverage corroborates the deal terms from the company release.

What “Source checked” means

Galderma agreed Wednesday to acquire ZO Skin Health for an enterprise value of $1.5 billion in cash from shareholders including Blackstone and the Obagi family, adding a physician-dispensed brand with about $330 million of recent annual sales to sit alongside Alastin.

A $1.5 billion bet on what doctors dispense

Galderma said Wednesday it has agreed to buy ZO Skin Health for an enterprise value of $1.5 billion in cash, adding a physician-dispensed skincare brand that sells through clinics and medical spas to the portfolio that already includes Cetaphil and Alastin. The sellers are shareholders that include funds managed by Blackstone Tactical Opportunities and the Obagi family, according to Galderma's Oct. 14 announcement.

The Swiss dermatology company, listed in Zurich as GALD, said it will buy 100% of Irvine, California-based ZO in an all-cash deal funded with cash on hand and bank financing. Closing is expected in the fourth quarter of 2026 or early 2027, subject to regulatory approvals and other customary conditions. The Wall Street Journal, writing the same day, described the price as $1.5 billion including debt — the same enterprise-value figure Galderma used — and noted Galderma shares were up about 0.7% when its story posted.

What ZO brings that Alastin does not

ZO was founded by dermatologist Dr. Zein Obagi and built around protocol-based daily regimens, often using retinols and acids, sold through a network Galderma puts at more than 16,500 physician, medical-spa and online accounts in more than 40 countries. The company said ZO recorded net sales of about $330 million in the twelve months through June 2026, across a lineup of more than 40 products manufactured in the United States.

That footprint sits next to Alastin, Galderma's peptide-focused regenerative line that is oriented toward care around aesthetic procedures. Galderma argues the two brands are complementary rather than overlapping: ZO for ongoing clinical regimens, Alastin for peri-procedure support. Chief executive Flemming Ørnskov said the deal strengthens Galderma's position in medical-grade skincare, where it wants to compete with a mix of Dermatological Skincare and Injectable Aesthetics. Dr. Obagi, in the same release, said he wanted ZO to stay with a company dedicated to dermatology and to the providers who already dispense it.

Blackstone took a majority stake in ZO in 2020 through its tactical opportunities business. In Wednesday's statement, Blackstone senior managing director Shary Moalemzadeh said ZO more than doubled its revenue during the firm's ownership. Terms of that earlier investment were not disclosed at the time.

How Galderma expects the numbers to land

Galderma said the acquisition is expected to be Core EPS-neutral in the first full year after closing. It also said the deal will be slightly dilutive to the group's Core EBITDA margin in 2027, then move toward a margin broadly in line with the group average from 2028. Management plans to raise commercial investment in the first year of ownership to rebuild growth for year two. The company said the transaction is consistent with keeping a solid investment-grade credit rating.

Advisers on the Galderma side were Lazard as lead financial adviser, JPMorgan as financial adviser and Ropes & Gray as legal counsel. Raymond James led for ZO and Blackstone, with Citi as financial adviser and Weil, Gotshal & Manges and Paul Weiss as legal counsel.

Why the deal matters beyond the headline price

Physician-dispensed skincare has become one of the steadier corners of prestige beauty: products move through clinics rather than mass retail, and demand tends to track medical and aesthetic visits more than promotional cycles. Galderma already sells Cetaphil as a mass dermatological brand and Alastin in the clinical channel; buying ZO deepens that clinical shelf and gives it a U.S.-manufactured daily regimen franchise with an existing salesforce and education team.

Galderma describes itself as a pure-play dermatology company present in about 90 countries, spanning Injectable Aesthetics, Dermatological Skincare and Therapeutic Dermatology. Putting ZO into that machine matters because the brand already has the clinic relationships; what it has lacked, in Galderma's telling, is the scale of R&D, education and geographic reach that a larger dermatology group can fund. That is the commercial bet behind raising investment in year one instead of cutting costs to make the first-year margin look better.

The price puts ZO at roughly 4.5 times the $330 million of trailing sales Galderma disclosed — a rich multiple versus many broad consumer staples names, and a signal that strategic buyers still pay up for clinically distributed brands with a doctor network. Cosmetics Business, covering the release on Oct. 14, framed the move as an expansion in medical-grade skincare and noted the same closing window Galderma gave. The Wall Street Journal's same-day account matched the seller group and the $1.5 billion including-debt framing, which lines up with calling the figure an enterprise value.

What is not yet public is how Galderma will organize the ZO and Alastin commercial teams after closing, whether any product lines will be repositioned, or what regulators in the relevant jurisdictions will require. Until contracts close, the $1.5 billion enterprise value and the EPS and margin guidance remain company forecasts tied to a deal that still needs approvals.

The company behind Cetaphil is buying ZO Skin Health for $1.5 billion

Galderma, a Swiss dermatology company that owns Cetaphil and Alastin, said Wednesday it will buy ZO Skin Health, a skincare brand sold mainly through doctors' offices and medical spas. The price is $1.5 billion in cash. Sellers include Blackstone and the Obagi family. ZO had about $330 million in sales over the past year. The deal still needs regulatory approvals and is expected to close by early 2027.
