CSN Announces Signed Agreement to Sell Cement Unit to China's Huaxin at $2.31 Billion Value
The sale would hand a Chinese producer its first foothold in Brazil and give the steelmaker a large step toward lighter debt — if regulators on two continents clear it.
Brazil's CSN said Sunday it signed an agreement Saturday to sell its cement unit to China's Huaxin, valuing the business at 12.7 billion reais ($2.31 billion).
CSN — formally Companhia Siderúrgica Nacional — disclosed the signing in a securities filing reported on Sunday. The agreement covers CSN Cimentos Brasil S.A., the group's cement business.
CSN lists in São Paulo as CSNA3 and in New York as SID, its October 30 filing noted.
What was agreed
Huaxin plans to acquire 99.99% of CSN Cimentos Brasil, a Reuters flash report said on Sunday. The near-total stake would leave CSN with only a sliver of the cement unit.
The buyer, Huaxin Building Materials Group Co., trades in Shanghai as 600801, according to the Reuters flash.
The stake stops at 99.99%, a hundredth of a point short of the whole company. Neither report said who holds the remaining sliver or why the structure stops there.
The expected payment is about 9.03 billion reais for the 99.99% stake, according to Finimize's summary of the announcement. The figure is an expected payment, not cash already paid.
The payment sits below the headline valuation because it reflects adjustments for net debt and working capital. Working capital is the cash tied up in day-to-day operations.
The 12.7 billion reais headline is an enterprise value, the whole-business value before those adjustments. The two figures answer different questions, so they are not in conflict.
The sale covers only the cement shares. CSN's steel business, the operation the cement arm sat alongside, is not part of the transaction.
From exclusivity to a signed deal
CSN entered a 10-day exclusivity agreement with Huaxin on October 30, its material fact filing said. That filing contemplated the same 12.7 billion reais enterprise value and said definitive documents should follow within days.
Huaxin submitted the most advantageous proposal in the competitive process CSN launched in March 2026, the October filing said. Saturday's signing lands inside the exclusivity window, which ran to about November 9.
At the exclusivity stage, Huaxin's Hong Kong filing said the companies aimed to agree definitive documents within days. No definitive agreement had been signed at that stage, and completion was described as uncertain.
