Crown Holdings reported third-quarter 2026 net sales of $3.71 billion, up 15.9% from $3.2 billion a year earlier, as global beverage can shipments rose and the company passed $405 million of higher material costs through to customers. Net income attributable to Crown was $225 million, or $2.08 a diluted share, versus $214 million, or $1.85 per diluted share, a year earlier. Adjusted diluted earnings per share rose 6.7% from a year earlier to $2.39.

Pass-through lifts sales while segment profit slips

Crown said the revenue increase reflected higher global beverage can shipments and the pass-through of $405 million in higher material costs. Global beverage can volumes were up 6% from a year earlier, and management cited double-digit gains in Asia. Segment income, a non-GAAP measure that Crown treats as its principal operating measure, was $484 million against $490 million, as the contribution from shipments was outweighed by input cost inflation; GAAP income from operations still rose to $442 million from $423 million, helped by restructuring and other charges of $8 million against $30 million a year earlier. The release's risk factors cite tariffs and retaliatory trade measures, without quantifying their cost.

The regional split shows where the growth came from. Americas Beverage net sales were $1.7 billion versus $1.42 billion, and segment income $259 million versus $255 million. European Beverage sales rose to $772 million while segment income was unchanged. Asia Pacific sales reached $321 million from $259 million. Transit Packaging was the exception: segment income declined while sales were roughly flat.

Buybacks shrink the share count faster than profit grows

Adjusted net income was $259 million in the third quarter, the same as a year earlier, so the 6.7% increase in adjusted diluted earnings per share came from a smaller share count. Diluted weighted-average shares were 108,322,780, compared with 115,701,558 a year earlier. Crown bought back $81 million of stock during the quarter and said it has acquired nearly 6% of its outstanding shares over the past twelve months. A lower tax rate also helped reported results: the effective rate was 25.6%, against 26.1%.

Free cash flow falls as operating cash slips

Adjusted free cash flow fell 40.2% to $299 million from $500 million in the quarter. Operating cash flow was $406 million, down from $580 million, while capital expenditures rose from a year earlier. Most of the decline came from the operating line rather than capital spending, and the release gives no reason for it. The nine-month picture is similar: adjusted free cash flow of $771 million against $887 million.

The balance sheet still supports the buyback. Net debt was $5.22 billion at September 30, 2026, the release's total debt of $5.85 billion less cash of $629 million, and the adjusted net leverage ratio was 2.5x. Cash and cash equivalents were $629 million at September 30, 2026, down from $1.17 billion a year earlier and from $879 million at the start of 2026.

Guidance leaves the fourth quarter to carry the year

Kevin C. Clothier, the chief financial officer, said: "We expect fourth quarter adjusted diluted earnings per share to be in the range of $1.63 to $1.73." The full-year range is $8.35 to $8.45, with adjusted free cash flow of at least $950 million after capital spending of approximately $550 million. Nine-month adjusted diluted earnings per share was $6.72 against $6.05, and reported diluted earnings per share $5.85 against $5.06.

The release gives no fourth-quarter revenue forecast and no split between price and volume in the sales gain, so how much of the pass-through sticks will only become visible in the next report. Crown holds its earnings call on October 20, 2026, at 9:00 a.m. EDT.
