Based on the September 14, 2026 Crane press release furnished with Form 8-K AccNo 0001628280-26-061780.
Crane Company (NYSE: CR) announced September 14 that it entered into a definitive agreement to acquire the U.S. pump business from First Reserve-backed Trillium Flow Technologies for approximately $240 million. Crane put the price at approximately 14.6 times estimated 2026 adjusted EBITDA and said the business expects approximately $115 million in full-year revenue. The acquisition has not closed (Form 8-K AccNo 0001628280-26-061780).
A water and wastewater addition
The business includes the Floway, Wemco, Roto-Jet and WSP brands, which provide mission-critical pumping solutions primarily for U.S. municipal water and wastewater markets. The announced transaction covers Trillium’s U.S. pump business; it should not be read as an agreement to acquire all of Trillium Flow Technologies.
Crane said the acquisition would enhance its Process Flow Technologies segment by expanding its highly engineered pump technologies and increasing exposure to water and wastewater markets that the company describes as resilient. That is the strategic case Crane is making for the deal, rather than an independently established forecast of the acquired business’s future performance.
An additional part of that case is the business’s large installed base. Crane identified recurring service, repair, retrofit and replacement opportunities tied to pumps already in use. The rationale therefore extends beyond selling new equipment: the company is also pointing to work associated with maintaining and replacing an existing population of pumps. The announcement does not quantify those opportunities in the verified facts available for this report.
What the disclosed valuation establishes
The approximately $240 million purchase price and approximately 14.6-times multiple are company-disclosed transaction figures. The multiple uses estimated 2026 adjusted EBITDA, so its denominator is an estimate rather than a reported historical earnings result. This report does not infer an absolute adjusted EBITDA amount from the rounded price and multiple.
The approximately $115 million revenue figure is likewise an expectation for the business’s full year, not revenue already reported as part of Crane. It provides a measure of the business being acquired, but does not establish how much revenue Crane would recognize after closing. The announcement date and the eventual closing date remain separate milestones.
Taken together, the disclosed scope and financial figures frame a tuck-in acquisition for Process Flow Technologies focused on municipal water and wastewater pumps. They do not, on their own, establish earnings accretion, cost savings or a return on the purchase price. No financing source, consideration mix or synergy estimate is asserted here.
Closing remains conditional
Crane said it expects the transaction to close in “the fourth quarter,” subject to customary closing conditions, including applicable regulatory approvals. That is an expected closing window, not confirmation that ownership has transferred. The wording is preserved as stated in the September 14 release, without adding a more precise closing date.
The verified facts do not identify the specific regulatory clearances or establish the likelihood of receiving them. The next substantive transaction milestone is satisfaction of the closing conditions and an announcement of completion. Until then, the relevant event is the announcement of a definitive agreement.
How Crane disclosed the agreement
Crane’s Form 8-K, accession 0001628280-26-061780, contains Item 7.01, Regulation FD Disclosure, and Item 9.01, Financial Statements and Exhibits. The definitive-agreement announcement appears in the press release furnished as Exhibit 99.1. This accession does not include Item 1.01, Material Definitive Agreement.
The distinction matters for describing the source accurately: Crane announced a definitive agreement, but this particular 8-K is not an Item 1.01 disclosure. Item 7.01 states that the Regulation FD materials, including Exhibit 99.1, are furnished and are not treated as filed for Section 18 purposes. Neither that disclosure classification nor the signing announcement establishes that the transaction has closed.
Gaps left by the disclosure
- Absolute adjusted EBITDA dollars behind the approximately 14.6x estimated 2026 multiple are not disclosed in AccNo 0001628280-26-061780. - Specific regulatory clearances beyond “applicable regulatory approvals” are not itemized. - Cash vs other consideration mix and financing sources are not established in the verified Ex 99.1 facts. - Closing is expected in “the fourth quarter” subject to conditions — not presented as completed.
